Licensed Company IP definition

Licensed Company IP means all Intellectual Property Rights that are licensed to the Company by third parties and are material to the conduct of the business of the Company.
Licensed Company IP means the Intellectual Property owned by a third party that Company or any of its Subsidiaries has a right to use or exploit by virtue of a License Agreement.
Licensed Company IP means all Company IP other than the Owned Company IP.

  • The Parent Parties hereby acknowledge and agree that none of them shall at any time, anywhere in the world: (i) file any application to register, or otherwise claim ownership of, the Licensed Company IP anywhere in the world or (ii) challenge or contest the validity, enforceability of or the Company Parties’ rights in the Licensed Company IP.

  • To the knowledge of the Company, the Company and each of its subsidiaries have complied with all material obligations under each material agreement pursuant to which Licensed Company IP has been licensed to the Company or such subsidiary, and all such agreements are in full force and effect.


More Definitions of Licensed Company IP

Licensed Company IP has the meaning set forth in Section 3.17(a).
Licensed Company IP means all Company IP that is not owned solely or jointly by the Company or any of its Subsidiaries, and that the Company or any of its Subsidiaries has a right to use or exploit by virtue of any Contract entered into with the sole owner, or one or more joint owner(s), of such Company IP.
Licensed Company IP means all Intellectual Property and Intellectual Property Rights that are licensed to the Company or any of its Subsidiaries by third parties.
