F.1 Save for assets held subject to retention of title or similar arrangements arising in the ordinary course of the business of the Company, Licensed IP, leased assets and assets hired or rented on hire purchase in the ordinary course of the business, the Company is the absolute owner of and is in actual possession of the material assets used in the course of its business (excluding the Property).
Subject to any consents required pursuant to Section 7.04, immediately following the Closing, the Purchaser shall own all right, title and interest in and to all of the Intellectual Property owned by the Company and the valid right to use all Company Licensed IP necessary to operate the business in the manner and to the extent currently conducted by Company and its Subsidiaries.
The Company has a valid license to all of the Company Licensed IP pursuant to the Contracts identified on Part 2.8(b) of the Disclosure Schedule.
Neither the Company nor any of the Seller Parties has received any written claims alleging that any of the Company IP or any of the Company Licensed IP is not valid, subsisting, and enforceable.
