Lender Agent means, with respect to (i) Xxxxx Fargo, Xxxxx Fargo; (ii) each Conduit Lender which may from time to time become party hereto, the Person designated as the “Lender Agent” with respect to such Conduit Lender in the applicable Joinder Supplement and (iii) each Institutional Lender which may from time to time become a party hereto, each shall be deemed to be its own Lender Agent, and, in each case, each of their respective successors and assigns.

Lender Agent has the meaning set forth in the Preamble.

Lender Agent means, with respect to (i) the Lender Group containing the Citi Conduits and their related Liquidity Bank, Citibank, (ii) each other Conduit Lender and Liquidity Bank which may from time to time become party hereto, the Person designated as the “Lender Agent” with respect to such Conduit Lender or such Liquidity Bank in the applicable Joinder Supplement and (iii) each Institutional Lender which may from time to time become a party hereto, such Institutional Lender as Lender Agent for itself, and, in each case, each of their respective successors and assigns.

Examples of Lender Agent in a sentence

The rights of each of Lender Agent, each Lender and Purchaser under this Agreement will not be capable of being waived or varied otherwise than by an express waiver or variation in writing.
Without limiting the foregoing, Purchaser will provide written notice to Lender Agent no later than one (1) Business Day after the satisfaction or failure to satisfy the Council Approval Contingency.
Lender Agent and Purchaser each may change from time to time the address to which Notices must be sent, by Notice given in accordance with this Section 8.1. All Notices given in accordance with this Section 8.1 shall be effective when received (or delivery is refused) at the address specified as aforesaid.
Neither this Agreement nor the Short Sale Agreement is assignable by Purchaser without the prior written consent of Lender Agent.
Except as expressly provided in Article V of this Agreement, but without limiting the foregoing, neither Lender Agent nor Lender makes any representations or warranties with respect to (a) any fact or condition respecting the Borrower, Guarantor, any other Person, the Property, any management agreements, any liens or the Property, or (b) any of the matters referred to in Section 4.2 or 4.3.

More Definitions of Lender Agent

Lender Agent means, with respect to (i) the Lender Group containing CRC Funding, LLC or any other Citi Conduit, Citibank, (ii) each other Conduit Lender and Liquidity Bank which may from time to time become party hereto, the Person designated as the “Lender Agent” with respect to such Conduit Lender or such Liquidity Bank in the applicable Joinder Supplement and (iii) each Institutional Lender which may from time to time become a party hereto, such Institutional Lender as Lender Agent for itself, and, in each case, each of their respective successors and assigns.

Lender Agent means a creditor, as defined herein, who offers credit insurance or arranges for the offering of credit insurance to debtors.

Lender Agent means such successor agent, and the retiring Lender Agent’s appointment, powers and duties as Lender Agent shall be terminated. After any retiring Lender Agent’s resignation hereunder as Lender Agent, the provisions of this Article XII and Article X shall inure to its benefit as to any actions taken or omitted to be taken by it while it was Lender Agent under this Agreement. If no successor agent has accepted appointment as Lender Agent by the date that is 30 days following a retiring Lender Agent’s notice of resignation, the retiring Lender Agent’s resignation shall nevertheless thereupon become effective and the Lenders shall perform all of the duties of the Lender Agent hereunder until such time, if any, as the Required Lenders appoint a successor agent as provided for above.

Lender Agent has the meaning assigned thereto in the Collateral Agency Agreement.

Lender Agent means, initially, GMAC LLC and thereafter any successor Lender Agent appointed pursuant to Section 12.09.

Lender Agent means with respect to each Conduit Lender which may from time to time become party hereto, the Person designated as the “Lender Agent” with respect to such Lender in the applicable Transfer Certificate and identified as such in ANNEX B from time to time; provided that each Lender designated as an Institutional Lender on its signature page hereto, or as such for the limited purposes of Clause 33.19, and each other Institutional Lender which may from time to time become a party hereto, shall be deemed to be its own Lender Agent.
