Stock Certificates has the meaning set forth in Section 2.2(a)(ii).
Company Stock Certificate shall have the meaning set forth in Section 1.6.
Stock Certificate With respect to a Cooperative Loan, a certificate evidencing ownership of the Cooperative Shares issued by the Cooperative.
Share Certificates The term Share Certificates shall mean the stock certificates for the Shares of the Fund.
Book-Entry Preferred Securities Certificates means a beneficial interest in the Preferred Securities Certificates, ownership and transfers of which shall be made through book entries by a Clearing Agency as described in Section 5.11.
Exchange Certificates Means the pass through certificates substantially in the form of Exhibit A hereto issued in exchange for the Initial Certificates pursuant to the Registration Rights Agreement and authenticated hereunder.
WREGIS Certificates has the same meaning as “Certificate” as defined by WREGIS in the WREGIS Operating Rules and are designated as eligible for complying with the California Renewables Portfolio Standard.
Escrowed Shares has the meaning set forth in Section 2.4.
Class K Certificate means any of the Certificates with a "Class K" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
Book-Entry Shares has the meaning set forth in Section 3(a).
Non-Book Entry Certificates As defined in Section 5.02(c)(iii) of this Agreement.
Book-Entry Certificates As specified in the Preliminary Statement.
New Certificates has the meaning set forth in Section 3.04(a).
Class B Warrants means, collectively, the Common Stock purchase warrants in the form of Exhibit C attached hereto delivered to the Purchasers at the Closing in accordance with Section 2.2(a) hereof, which warrants shall be exercisable immediately and have a term of exercise equal to one year.
Book Entry Warrants means Warrants that are to be held only by or on behalf of the Depository;
Cooperative Stock Certificate With respect to a Cooperative Loan, the stock certificate or other instrument evidencing the related Cooperative Stock.
Class A-S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-8 hereto.
Exchanged Shares has the meaning ascribed thereto in Section 2.1.
Class B Preferred Stock means the Class B Preferred Stock of the Company, par value $0.0001 per share.
Class S Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-18 hereto and evidencing an undivided beneficial interest in the Class S Specific Grantor Trust Assets. The Class S Certificates have no Pass-Through Rate, Certificate Balance or Notional Amount.
Restricted Securities Certificate means a certificate substantially in the form set forth in Annex B.
WREGIS Certificate or “Certificate” means “Certificate” as defined by the WREGIS Operating Rules.
Class H Certificate means any of the Certificates with a "Class H" designation on the face thereof, substantially in the form of Exhibit A-4 attached hereto, and evidencing a portion of a class of "regular interests" in REMIC III for purposes of the REMIC Provisions.
Share Certificate means a certificate representing the Shares purchased by and registered in the name of the Subscriber pursuant to the Offering;
Escrowed Securities means the direct, noncallable obligations of the United States of America, as described in the Escrow Agreement.
Company Certificate means the Amended and Restated Certificate of Incorporation of the Company as in effect on the date hereof.
