Landlord Waiver and Consent definition

Landlord Waiver and Consent means a waiver/consent in form and substance satisfactory to Lender from the owner/lessor of any premises not owned by Borrower at which any of the Collateral is now or hereafter located for the purpose of providing Lender access to such Collateral, in each case as such may be modified, amended or supplemented from time to time.

Landlord Waiver and Consent means a waiver/consent in form and substance satisfactory to the Holders from the owner/lessor of any premises not owned by the Issuers or their Subsidiaries at which any of the Collateral is now or hereafter located for the purpose of providing the Collateral Agent (for the benefit of the Holders) access to such Collateral, in each case as such may be modified, amended or supplemented from time to time.

Landlord Waiver and Consent means, with respect to any Leasehold Property, a letter, certificate or other instrument in writing from the lessor under the related lease, in substantially the form of Exhibit I or in such other form reasonably approved by the Administrative Agent.

• The landlord for each location at which a material portion of Borrower’s inventory or other assets may be located shall have executed a Landlord Waiver and Consent Agreement with Lender acceptable to Lender in Lender’s sole discretion.

• With respect to leases of real property entered into after the date hereof, and each renewal of any lease of real property or (whether existing or entered into after the date hereof), Borrower shall deliver to Agent a Landlord Waiver and Consent substantially in the form of Exhibit "M" hereto and reasonably satisfactory to Agent prior to occupying the premises subject to any such leases or the commencement of the renewal term, as applicable.

• At the end of such sixty (60) day period, Borrower shall furnish Agent with copies of the leases and the names, addresses and telephone numbers of landlords from whom no Landlord Waiver and Consent shall have been obtained.

• Furnish to Agent within five (5) calendar days after the end of each calendar month, commencing for the month ended May 31, 2004, a report specifying the aggregate fair market value of the Collateral located at all leased locations for which a Landlord Waiver and Consent has not been obtained, in form and substance acceptable to Agent in its Permitted Discretion.

More Definitions of Landlord Waiver and Consent

Landlord Waiver and Consent means a waiver/consent from the owner/lessor/mortgagee of any premises either owned or occupied by Borrower at which any of the Collateral is now or hereafter located for the purpose of providing Lender access to such Collateral, in each case as such may be modified, amended or supplemented from time to time.

Landlord Waiver and Consent means a waiver/consent in form and substance satisfactory to Agent in its sole discretion from the owner/lessor of any premises not owned by Borrower at which any of the Collateral is now or hereafter located for the purpose of providing Agent access to such Collateral.

Landlord Waiver and Consent means a waiver or consent, in form and substance satisfactory to Agent in its Permitted Discretion, pursuant to which a mortgagee, owner, lessor, warehouseman, processor or other bailee of any Property of any Credit Party (i) acknowledges and consents to the Liens of Agent, (ii) waives any Liens held by such Person on such Property, (iii) permits Agent access to and use of such Property for a reasonable amount of time during an Event of Default to assemble, complete and sell any Collateral located thereon, and (iv) consents to the right of Agent to assume the underlying lease or assign the underlying lease to a third party in connection with the exercise of the collateral assignment or mortgage of such underlying lease in favor of Agent.

Landlord Waiver and Consent means a waiver/consent in form and substance reasonably satisfactory to Lender from the owner/lessor of 0000 Xxxxx Xxxxxxx Xxxxxxxxxx, Xxxxx 000, Xxxxxxxxxx, XX 00000, and any other premises not owned by a Borrower at which billing operations are conducted or Books and Records are maintained or, at the request of Lender, any of the Collateral is now or hereafter located, for the purpose of providing Lender access to such Collateral, in each case as such may be modified, amended or supplemented from time to time and subordinating in favor of Lender any claims that the owner/lessor may have against such Borrower or against any of the Collateral.
