IPO Entity definition

IPO Entity means, at any time at and after an IPO, the Borrower or a parent entity of the Borrower, as the case may be, the Equity Interests in which were issued or otherwise sold pursuant to the IPO.

IPO Entity has the meaning set forth in the definition of “Qualified IPO.”

IPO Entity means the issuer in a Qualified IPO.

• In determining Fair Market Value, (i) the offering price of the Initial Public Offering shall be used by the Board to determine the Fair Market Value of the capital stock or other equity interests of the IPO Entity and (ii) the Distributions that the Members would have received with respect to their Units if the Company were dissolved, its affairs wound up and Distributions made to the Members in accordance with Section 13.3(c) shall determine the Fair Market Value of the Units.

• Commercial production and utiliza- tion of photovoltaic components and systems; selection of compo- nents and systems compatible with chosen design concepts; procure- ment of components and systems.

• In connection with a transaction described in Section 11.5(a), the Board shall, in good faith but subject to the following sentence, determine the Fair Market Value of the assets and/or Units Transferred to, merged with or converted into shares of the IPO Entity, the aggregate Fair Market Value of the IPO Entity and the number of shares of capital stock or other equity interests to be issued to each Member in exchange or in consideration therefor.

• Listing an initial public offering of an IPO Entity to the official list of ASX Limited or any other recognised stock exchange.

• IPO Entity a member of the Company Group or a special purpose vehicle formed for the purpose of a Listing which directly or indirectly (including through one or more interposed entities) owns at least 50% per cent (based on earnings) of the business of the Company Group.

More Definitions of IPO Entity

IPO Entity means, at any time after an IPO, Holdings, a parent entity of Holdings or any Subsidiary of Holdings and of which the Borrower is a Subsidiary, as the case may be, the Equity Interests of which were issued or otherwise sold pursuant to the IPO; provided that, immediately following the IPO, the Borrower is a Wholly Owned Subsidiary of such IPO Entity and such IPO Entity owns, directly or through its subsidiaries, substantially all the businesses and assets owned or conducted, directly or indirectly, by the Borrower immediately prior to the IPO.

IPO Entity means the Company or any other subsidiary or holding company of the Company as determined by the Board.

IPO Entity means, at any time after an IPO, Initial Holdings, a parent entity of Initial Holdings or an Intermediate Parent, as the case may be, the Equity Interests of which were issued or otherwise sold pursuant to the IPO; provided that, immediately following the IPO, the Borrower is a Wholly Owned Subsidiary of such IPO Entity and such IPO Entity owns, directly or through its subsidiaries, substantially all the businesses and assets owned or conducted, directly or indirectly, by the Borrower immediately prior to the IPO.

IPO Entity has the meaning set forth in Section 11.5(a). “Issuance Notice” has the meaning set forth in Section 9.1(c).

IPO Entity has the meaning given to it in the definition of “Initial Public Offering.”

IPO Entity means, at any time at and after an IPO, Holdings, the Borrower or a Parent Entity of Holdings, as the case may be, the Capital Stock in which were issued or otherwise sold pursuant to the IPO or, in the case of an IPO described in clause (b) of the definition thereof, the publicly traded entity immediately following such IPO, so long as such entity is Holdings or a Parent Entity of Holdings.
