improvement notice definition

improvement notice means the notice issued by the Authority to the Supplier pursuant to Clause 32.1.3 (Authority Remedies) which will detail how the Supplier shall improve the provision of the Goods and/or Services;

improvement notice means the notice issued by the Authority to the Supplier pursuant to Clause 29.1.3 (Authority Remedies) which will detail how the Supplier shall improve the provision of the Goods and/or Services; Initial Framework Period means the period from the Framework Commencement Date until its second anniversary; Information has the meaning given under section 84 of the Freedom of Information Act 2000 as amended from time to time; Insolvency Event means, in respect of the Supplier or Framework Guarantor (as applicable): a) a proposal is made for a voluntary arrangement within Part I of the Insolvency Act 1986 or of any other composition scheme or arrangement with, or assignment for the benefit of, its creditors; or b) a shareholders' meeting is convened for the purpose of considering a resolution that it be wound up or a resolution for its winding-up is passed (other than as part of, and exclusively for the purpose of, a bona fide reconstruction or amalgamation); or c) a petition is presented for its winding up (which is not dismissed within fourteen (14) Working Days of its service) or an application is made for the appointment of a provisional liquidator or a creditors' meeting is convened pursuant to section 98 of the Insolvency Act 1986; or d) a receiver, administrative receiver or similar officer is appointed over the whole or any part of its business or assets; or e) an application order is made either for the appointment of an administrator or for an administration order, an administrator is appointed, or notice of intention to appoint an administrator is given; or f) it is or becomes insolvent within the meaning of section 123 of the Insolvency Act 1986; or g) being a "small company" within the meaning of section 382(3) of the Companies Act 2006, a moratorium comes into force pursuant to Schedule A1 of the Insolvency Act 1986; or h) where the Supplier or Framework Guarantor is an individual or partnership, any event analogous to those listed in limbs (a) to (g) (inclusive) occurs in relation to that individual or partnership; or i) any event analogous to those listed in limbs (a) to (h) (inclusive) occurs under the law of any other jurisdiction;

Examples of improvement notice in a sentence

  • The Authority shall be entitled to serve an Improvement Notice on the Supplier and the Supplier shall implement such requirements for improvement as set out in the Improvement Notice.

  • If the Contractor commits such a default, the Authority may elect to give a Performance Improvement Notice to the Contractor which shall specify the default in outline and the actions the Contractor needs to take with respect to remedying the default.

  • In the event that the Authority has, in its absolute and sole discretion, invoked one or more of the remedies set out above and the Supplier either: fails to implement such requirements for improvement as set out in the Improvement Notice; and/or fails to implement an Improvement Plan Approved by the Authority; then (without prejudice to any other rights and remedies of termination provided for in this Framework Agreement), the Authority shall be entitled to terminate this Framework Agreement.

  • Buyer shall then have sixty (60) days after receipt of the RPS Qualification Improvement Notice to verify or dispute Seller’s documentation and calculation.
