First Option Shares definition

First Option Shares. Means the number of shares in GA shown in the Schedule as due to be issued to The Shareholder on the First Anniversary of the Stock Purchase Agreement

First Option Shares means the beneficial interest in the 158,417 B Ordinary Shares of €0.0001 each in the capital of the Company as is set out in column C of Schedule 1 (together with any other shares, stock or securities relating thereto referred to in clause 8);

First Option Shares as used in this Agreement also refers to the shares, if any, which are issued to the Manager pursuant to the exercise of the First Option. The First Option Purchase Price and the number of First Option Shares are subject to appropriate adjustment in the event of any stock split, stock combination (reverse stock split) or stock dividend of or on the outstanding shares of MPS Common Stock. By way of example, if the Company were to effect a two-for-one split of MPS Common Stock, the number of First Option Shares (i.e., shares, if any, subject to the First Option) would be doubled and the First Option Purchase Price would be changed to Eight Hundred Fifty Dollars ($850). By way of additional example, if the Company were to effect a one-for-five reverse stock split, the number of First Option Shares (i.e., shares, if any, subject to the First Option) would be changed to one-fifth of such number and the First Option Purchase Price would be changed to Eight Thousand Five Hundred Dollars ($8,500).
