Existing Facility Agreements definition

Existing Facility Agreements means the facility agreements and other documents described in Part II, Schedule 1 (The Original Participating Creditors) of the 2009 Financing Agreement.

Existing Facility Agreements means those existing credit agreements of the Company and/or Torm Singapore as set out in column 1 of Part B of Schedule 1 (The Parties).

Existing Facility Agreements means the Existing EUR Facility Agreements and the Swedbank Facility.

• The Borrower shall use the proceeds of each Advance solely (i) for the refinancing of the Financial Indebtedness under the Existing Facility Agreements (to the extent the Financial Indebtedness under such Existing Facility Agreement is outstanding on the relevant Drawdown Date) and (ii) for general corporate and working capital purposes.

• The Borrower undertakes that each Existing Facility Agreement will be maintained on a stand alone basis with the Bank as an independent facility agreement each comprising an independent credit facility to the Borrower, and that the Borrower will not participate into any restructuring or rescheduling or any other amendments or similar arrangements with the relevant lenders of either of the Existing Facility Agreements without the Bank's prior written consent.

• The parties shall thereafter negotiate in good faith regarding adoption of such Proposed Prices to be in effect during the proposed renewal term of this Agreement under the Existing Facility Agreements and New Facility Agreements.

More Definitions of Existing Facility Agreements

Existing Facility Agreements means each of the agreements, deeds, letters, and other documents entered in connection with under which the Existing Facilities arise, or as designated as such by the relevant entity of the KEL Group and lender of the KEL Group.
