As a condition to the exercise of the exchange rights described in this Section 5, the Company shall deliver an opinion to the Exchange Note Trustee as to the due authorization, execution, delivery and enforceability of both the Exchange Notes and the Exchange Note Indenture and as to the compliance by the Company with the provisions hereof.
The Exchange Notes, if and when issued, will be issued pursuant to an indenture (the "Exchange Note Indenture") between the Company and First Union National Bank, as trustee (the "Exchange Note Trustee").
