Downloaded Software definition

Downloaded Software means, with respect to a particular PC that had been shipped by a Licensee Party or an Authorized Manufacturer without Pre-Installed Software, a copy of BD- PC Software that is later downloaded to the PC from a site on the internet operated by or for a Licensee Party or a third party having an arrangement concerning downloaded BD-PC software with a Licensee Party pursuant to which the Licensee Party is responsible for paying royalties to One-Blue for such downloaded BD-PC Software. BD-PC Software downloaded to the PC that is Trial/Disabled Software, which has not been activated or enabled, is not considered Downloaded Software.
Downloaded Software means any Software provided by IPC or made available by IPC for download by Customer onto a desktop computer, laptop computer, tablet computer or mobile device for use with the Services.
Downloaded Software means client software downloaded by an Authorized User (defined below) from the Site that augments your use of the Service, including add-ins and ancillary programs. “Enterprise Customer” means a CREDITOR NAME customer who has acquired the “Enterprise” version of the Service. “Order Form” means a web-based or signed paper order form completed by you or by an authorized employee of the legal entity for whom you work when ordering the Service. “External User” means a single individual generally located outside of your organization who is invited to access a document or folder within the Service. An External User has access only to limited features of the Service, and is not considered a licensed Named User under the Service. “Named User” means a single individual with a corresponding user name and password who is authorized by the administrator for the entity entering into this Agreement to be a user of the Service. A Named User has full license rights to use the Service, subject to limitations that may be imposed by the administrator. “Service” means the provision by CREDITOR NAME to you of online document management, work flow and related services, in accordance with the tiers of service and other options as set forth in the Order Form. The Service includes the provision on a Software as a Service basis of non-exclusive use and access to proprietary CREDITOR NAME software, and associated hosting and support services as described herein. “Site” means the web site at xxx.xxxxxxxxxxxxx.xxx and/or such other web site or sites that CREDITOR NAME communicates to you where you may access the Service. “Software” means CREDITOR NAME’s proprietary software used by CREDITOR NAME to deliver the Service, made available to you through the Site on a “Software as a Service” basis, and all updates and associated documentation thereto made available as a part of the Service pursuant to this Agreement. The term “Software” includes the Downloaded Software. “Trial Use” means your use of the Service during a free trial period (up to 14 days), as further described on the Site.

Examples of Downloaded Software in a sentence

  • You may make a single copy of the Downloaded Software for backup purposes only; provided that any such copies contain the same proprietary rights notices that appear on the Downloaded Software.

  • Downloaded Software means client software downloaded by an Authorized User (defined below) from the Site that augments your use of the Service, including as applicable agents, API’s and ancillary programs.

  • Notwithstanding the foregoing, if you are an MSP/Outsourcer, subject to the payment and other terms herein, you may install the Downloaded Software in your customers’ environments solely for the purpose of supporting use of the Service for the benefit of such customers.

  • The Downloaded Software may be used solely in support of your use of the Service, and for no other purpose.

  • Except to the extent expressly permitted in any applicable Downloaded Software License Agreement, or expressly authorized under applicable law overriding any of the following restrictions, you agree that you will not sell, lease, lend, convey, transmit, modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or attempt to derive source code from the Downloaded Software.

  • Any reproduction, redistribution or other use or exploitation of the Downloaded Software not in accordance with the Downloaded Software License Agreement and/or this Agreement is expressly prohibited by law, and may result in civil and criminal penalties.

  • Your rights to access, download and use any Downloaded Software will be subject to the terms and conditions of the software license agreement identified on the site and/or in the Downloaded Software (each a “Downloaded Software License Agreement”).

  • You may not install any Downloaded Software that is accompanied by or includes a Downloaded Software License Agreement unless you have agreed to the applicable Downloaded Software License Agreement (and the rights and obligations of you and Splunk for the Downloaded Software shall be governed exclusively by the Downloaded Software License Agreement).

  • During the term of this Agreement and conditioned upon Your full compliance with all the terms and conditions of this Agreement, HTC grants to You a limited, non-sublicensable, non-transferable, non-exclusive, license to (a) use the Preinstalled Software only as pre-installed in Your HTC Vive, and (b) to install and use Downloaded Software only in object code form on Your computer and/or (if applicable) Your HTC Vive; in each case only for the Permitted Uses.

  • During the term of this Agreement, HTC grants to You a limited, non-sublicensable, non-transferable, non-exclusive, license to (a) use the Preinstalled Software only as pre-installed in Your HTC Vive, and (b) to install and use Downloaded Software only in object code form on Your computer and/or (if applicable) Your HTC Vive; in each case only for the Permitted Uses.

  • Embedded Software means one or more software applications which permanently reside on a computing device.

  • Oracle Software means any software agent, application or tool that Oracle makes available to You for download specifically for purposes of facilitating Your access to, operation of, and/or use with, the Services.

  • System Software means Software that provides the operating and management instructions for the underlying hardware and other components, and is identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Systems Software. Such System Software includes, but is not restricted to, micro-code embedded in hardware (i.e., “firmware”), operating systems, communications, system and network management, and utility software.

  • Software Update means a package used to upgrade software to a new version including a change of the configuration parameters.

  • Supplier Software means software which is proprietary to the Supplier or its Affiliates which is used or supplied by the Supplier in the provision of the Services; Supplier Staff means all persons employed or engaged by the Supplier together with the Supplier's servants, agents, suppliers, consultants and Sub-Contractors (and all persons employed by any Sub-Contractor together with the Sub-Contractor’s servants, consultants, agents, suppliers and Sub-Contractors) used in the performance of its obligations under this Contract; Time and Materials means the pricing mechanism for the Services as may be agreed by the Parties and set out at paragraph Error: Reference source not found in the SOW; TUPE means the Transfer of Undertakings (Protection of Employment) Regulations 2006 (SI 2006/246) as amended or replaced or any other regulations or UK legislation implementing the Acquired Rights Directive; Velocity means the Metric which measures the total number of Story Points for Stories that have been accepted in a Sprint, indicating the rate of progress towards Acceptance of all Stories from the Product Backlog;

  • Custom Software means Software identified as such in Appendix 4 of the Contract Agreement and such other Software as the parties may agree in writing to be Custom Software.

  • Customer Software means software which is owned by or licensed to the Customer;

  • SAP Group Software means (i) any and all software products listed on the Price List as well as any SAP SDK which are provided by SAP or any other member of the SAP Group to Partner or to an End User (either directly or indirectly via Partner) under any part of this Agreement all as developed by or for the SAP Group; (ii) any new releases, updates or versions thereof made available through unrestricted shipment pursuant to Maintenance Services or warranty obligation by any member of the SAP Group; and (iii) any complete or partial copies of any of the foregoing.

  • Company Software means Software owned or purported to be owned by or developed by or for the Company or any Company Subsidiary.

  • Licensed Software includes error corrections, upgrades, enhancements or new releases, and any deliverables due under a maintenance or service contract (e.g., patches, fixes, PTFs, programs, code or data conversion, or custom programming).

  • Computer software means computer programs, source code, source code listings, object code listings, design details, algorithms, processes, flow charts, formulae, and related material that would enable the software to be reproduced, recreated, or recompiled. Computer software does not include computer databases or computer software documentation.
