Derivative Compound definition

Derivative Compound means a chemical compound structurally derived in one or more steps from another by a process of modification (either through manipulation of a compound or synthesis from structural information provided hereunder) or partial substitution of at least one component wherein at least one structural feature is retained at each process step. The number of intermediate steps or compounds is not relevant to the classification of a
Derivative Compound means any compound derived by Pharmacopeia in the performance of the Collaboration, in each case from one or more Lead Compounds, and having activity against the same Target as such Lead Compound(s). As used herein, a compound shall be deemed to have been “derived from” a Lead Compound if it *

More Definitions of Derivative Compound

Derivative Compound means a compound which is derived from a Selected Compound or a Lead Compound by or on behalf of SPL, or by NeoGenesis in performance of medicinal chemistry optimization pursuant to Section 2.2(b), and having activity against the same Target as such Selected Compound and/or Lead Compound. A compound will be deemed to have been "derived" from a Selected Compound or a Lead Compound if it (i) is the result of a chemical modification made to a Selected Compound or Lead Compound, (ii) is otherwise derived from a chemical synthesis program based upon a Selected Compound or Lead Compound, or (iii) is based on proprietary structure-function data obtained from Selected Compounds or Lead Compounds. Derivative Compounds will include, without limitation, all Compounds contained in the NeoMorph Focused Library(ies).
Derivative Compound means a derivative or modification of a Compound including (A) with respect to an antibody or similar protein, an antibody or similar protein with at least one complementarity determining regions (CDRs) that is at least *** identical (based on the amino acid sequence) to the CDRs of the original Compound; (B) with respect to an ECD-Fc fusion protein, an ECD-Fc fusion protein with an ECD portion of the protein that is at least *** identical (based on the amino acid sequence) to the ECD portion of the original Compound; (C) with respect to a peptide, a peptide that is at least *** identical (based on the amino acid sequence) to the original Compound; and (D) with respect to a chemical compound that is not a protein or peptide, a chemical compound that is a salt, ester, polymorphic, stereoisomer, or prodrug of the original parent Compound. *** INDICATES MATERIAL THAT WAS OMITTED AND FOR WHICH CONFIDENTIAL TREATMENT WAS REQUESTED. ALL SUCH OMITTED MATERIAL WAS FILED SEPARATELY WITH THE SECURITIES AND EXCHANGE COMMISSION PURSUANT TO RULE 24b-2 PROMULGATED UNDER THE SECURITIES EXCHANGE ACT OF 1934, AS AMENDED.
Derivative Compound means any compound or mixture for application in the CDP Field that is made or derived from a Lead Compound and that is within the parameters or specifications defined in a specific Technology Firewall Set by the parties pursuant to their respective development efforts under a CDP, or as permitted to be made or derived by ATMI or under authority of ATMI or its Affiliates or Sublicensees in accordance with the licenses granted to ATMI under that CDP. As used in this Agreement, a compound or mixture shall be deemed to have been “derived from” a Lead Compound if it results from a CDP based on a Lead Compound or from the use of HPC Technology, Alliance Technology, or IM Independent IP, or is otherwise related to a Lead Compound. For the purpose of this definition, “otherwise related” shall mean any further modifications to a Lead Compound or Derivative Compound outside of this Agreement, but not modifications to ATMI Independent Technology created independently of any use of HPC Technology, Alliance Technology or IM Independent IP, including any compound based on structure and/or performance data relating to one or more Lead Compounds. Derivative Compounds shall also include a compound that is synthesized, based on, or derived from another Derivative Compound pursuant to a CDP as described above. “Derivative Compound” shall not include any compound or mixture developed independently by ATMI or its Affiliates or sublicensees without reliance on Alliance Technology or IM Independent IP, and that does not infringe or misappropriate the Alliance Technology or IM Independent IP.
Derivative Compound shall not include any compound or mixture developed independently by ATMI or its Affiliates or sublicensees without reliance on Alliance Technology or IM Independent IP, and that does not infringe or misappropriate the Alliance Technology or IM Independent IP.
