Costs Award definition

Costs Award means the award of costs which the Ontario Court ordered to be paid by the Plaintiffs to the Selling Defendants by order made February 21, 2017 in the Ontario Action.

Examples of Costs Award in a sentence

  • Court approval of the Attorneys’ Fees and Costs Award will not be a condition of the Settlement.

  • If the Court denies, in whole or part, Class Counsel’s Application for an Attorneys’ Fees and Costs Award, the remainder of the terms of this Agreement shall remain in effect.

  • Class Counsel shall not be permitted to petition the Court 9 for, or accept, any additional payments for fees, costs, or interest in conjunction with this 10 Settlement, and the Fees Award and Costs Award shall be for all claims for attorneys' fees 11 and costs incurred in the Action as a result of the Settlement.

  • The Settlement Fund is made up of six parts: (1) the total payments to Class Members of the Settlement Awards (the “Payout Fund”); (2) a Fees Award to Class Counsel; (3) a Costs Award to Class Counsel; (4) a Service Award/General Release Payment to the Named Plaintiff; (5) a payment to the Labor Workforce Development Agency; and (6) claims administration expenses.

  • The Fees Award, Costs Award, Service Award, payment to the LWDA, and claims administration expenses are explained in Section VI below.

  • As part of seeking the Superior Court’s final approval of this Settlement, Class Counsel will apply to the Superior Court for an Attorney Fees and Costs Award of no more than $90,000.

  • The Gross Settlement Fund shall be used: (1) to satisfy the Settlement Class Member Payments; (2) to satisfy the PAGA Employee Payments; (3) to satisfy the Plaintiff’s Counsels’ Attorneys’ Fees and Costs Award; (4) to satisfy the Class Representative Service Award; (5) to satisfy Settlement Administration Expenses; and (6) to satisfy the PAGA Payment to the LWDA.

  • Each Class Counsel law firm receiving Fees and Costs, as a condition of receiving the Fees and Costs Award, agrees to the jurisdiction of the Court for the purpose of enforcing this provision, and each are severally liable and responsible for any required payment.

  • Subject to the approval of the Court, the Fees and Costs Award shall be paid to Class Counsel within 10 days after the later of the date (A) the funds are paid into the Common Fund and (b) an order awarding Plaintiffs’ counsel Fees and Costs Award is entered, notwithstanding the existence of any timely filed objections to or appeals regarding the Plans of Distribution or the Fees and Costs Award.

  • Cash Award means an award denominated in cash.

  • Service Award means any Court ordered payment to Plaintiff for serving as Class Representative, which is in addition to any payment due to Plaintiff as a Settlement Class Member.

  • Fee and Expense Award means award(s) by the Court to Settlement Class Counsel for reasonable attorneys’ fees and reimbursement of reasonable costs and expenses incurred in the prosecution of the Action, including any interest accrued thereon.

  • Performance Award means any right granted under Section 6(d) of the Plan.

  • Award means, individually or collectively, a grant under the Plan of Options, Stock Appreciation Rights, Restricted Stock, Restricted Stock Units, Performance Units or Performance Shares.

  • Performance Compensation Award means any Award designated by the Committee as a Performance Compensation Award pursuant to Section 11 of the Plan.

  • Final Award means, in the context of this Request for Proposals and all its attendant documents, that point at which the final required signature on the contract(s) resulting from the procurement has been affixed to the contract(s) thus making it fully executed.

  • Performance Stock Unit means a right granted to a Participant pursuant to Section 8.2, to receive Stock, the payment of which is contingent upon achieving certain Performance Goals or other performance-based targets established by the Committee.

  • 3(i) Award means an Award granted pursuant to Section 3(i) of the Ordinance to any person who is a Non- Employee.

  • Performance Share Unit or “PSU” means a unit equivalent in value to a Share, credited by means of a bookkeeping entry in the books of the Corporation in accordance with Article 6;

  • Direct Award Criteria means the award criteria to be applied for the award of Call-Off Contracts for Standard Services set out in Part 1 of Schedule 6 (Award Criteria) of this Framework Agreement;

  • Incentive Award means the right to receive a cash payment to the extent Performance Goals are achieved, and shall include “Annual Incentive Awards” as described in Section 10 and “Long-Term Incentive Awards” as described in Section 11.

  • Performance Cash Award means an award of cash granted pursuant to the terms and conditions of Section 6(c)(ii).

  • Actual Award means as to any Performance Period, the actual award (if any) payable to a Participant for the Performance Period, subject to the Committee’s authority under Section 3(d) to modify the award.

  • System for Award Management (XXX) means the Federal repository into which an Entity must enter the information required under the Transparency Act, which may be found at xxxx://xxx.xxx.gov.

  • Performance Unit Award means an award of Performance Units under this Plan.

  • Performance Grant means an Award subject, in part, to the terms, conditions and restrictions described in Section 9, pursuant to which the recipient may become entitled to receive cash, Class A Shares, Other Real Goods Securities or property, or other forms of payment, or any combination thereof, as determined by the Committee.

  • Performance Measure means one or more of the following selected by the Committee to measure Company, Affiliate, and/or business unit performance for a Performance Period, whether in absolute or relative terms (including, without limitation, terms relative to a peer group or index): basic, diluted, or adjusted earnings per share; sales or revenue; earnings before interest, taxes, and other adjustments (in total or on a per share basis); basic or adjusted net income; returns on equity, assets, capital, revenue or similar measure; economic value added; working capital; total shareholder return; and product development, product market share, research, licensing, litigation, human resources, information services, mergers, acquisitions, sales of assets of Affiliates or business units. Each such measure shall be, to the extent applicable, determined in accordance with generally accepted accounting principles as consistently applied by the Company (or such other standard applied by the Committee) and, if so determined by the Committee, and in the case of a Performance Compensation Award, to the extent permitted under Code Section 162(m), adjusted to omit the effects of extraordinary items, gain or loss on the disposal of a business segment, unusual or infrequently occurring events and transactions and cumulative effects of changes in accounting principles. Performance Measures may vary from Performance Period to Performance Period and from Participant to Participant, and may be established on a stand-alone basis, in tandem or in the alternative.

  • Performance Indicator means a measure of HSP performance for which a Performance Target is set; technical specifications of specific Performance Indicators can be found in the MSAA Indicator Technical Specifications document;

  • Share Unit means a unit credited by means of an entry on the books of the Corporation to a Participant pursuant to the Plan, representing the right to receive, subject to and in accordance with the Plan, for each Vested Share Unit one Share, at the time, in the manner, and subject to the terms, set forth in the Plan and the applicable Grant Agreement;

  • Performance Award Agreement means a written agreement between the Company and a Holder with respect to a Performance Award.

  • Fee Award means the amount of attorneys’ fees and reimbursement of costs and expenses awarded by the Court to Class Counsel.

  • Cash-Based Award means an Award entitling the recipient to receive a cash-denominated payment.
