Examples of Conversion Units in a sentence
Subject to Section 5.8(b)(i)(D), upon issuance of Series A Conversion Units to the Series A Converting Unitholder, all rights under the converted Series A Preferred Units shall cease, and such Series A Converting Unitholder shall be treated for all purposes as the Record Holder of such Series A Conversion Units.
On the Series A Conversion Date, the Partnership shall instruct, and shall use its commercially reasonable efforts to cause, its Transfer Agent to electronically transmit the Series A Conversion Units to such Series A Preferred Unitholder.
The Series A Conversion Units shall be issued in the name of the Record Holder of such Series A Preferred Units.
The Partnership shall use its reasonable best efforts to maintain such listing of all Conversion Units and Additional Conversion Units from time to time issuable under the terms of the Transaction Documents.
For the avoidance of doubt, it is acknowledged that the SAFE Investor will be entitled to the benefit of all adjustments in the number of Units as a result of any splits, recapitalizations, combinations or other similar transactions affecting the Company's Units underlying the Conversion Units that occur prior to the conversion of this SAFE.
