Control Notice definition

Control Notice means a written notice delivered pursuant to a Deposit Account Control Agreement instructing the depository bank to comply with instructions originated by Agent with respect to the deposit account that is covered thereby without further consent of any Borrower or Guarantor.

Control Notice shall have the meaning set forth in Section 5.3(b).

Control Notice means a notice given by the Corporation to the holders of shares of the Series A Convertible Preferred Stock, in accordance with Section 7(a)(5) or Section 11(b)(4), (i) stating that an Inconvertibility Day or an Optional Redemption Event, as the case may be, has occurred by reason of events which are not solely within the control of the Corporation and (ii) enclosing an executed copy of an Auditors' Determination.
