Company Breach definition

Company Breach has the meaning ascribed to such term in Section 10.4(b).

• Negative deviations of agreed targets (on individual level, level of responsibility or level of the Company), Breach of Duty and Unconscionable Conduct shall lead to a reduction of 1-100% of the Variable Remuneration (100% means no award of Variable Remuneration).

• Failure to comply with Section 6.1 shall be considered a material breach of this Agreement and shall be governed by Section 20.2 below (Company Breach).

• If the Required Insurance has been canceled due to Company Breach, or Required Insurance proceeds are not available for repair, restoration or replacement due to actions or failures to act of the Company, the Borough shall be relieved of its payment obligations under this paragraph (b) to the extent such proceeds would otherwise have been available for such repair, replacement or restoration and the Company shall be responsible for the payment of such costs.

• If by the 30th day following the Contract Date, the Commencement Date Conditions have not been satisfied and such failure is due to a Company Breach or other Company fault, such failure shall constitute an Event of Default on the part of the Company for which the Borough may terminate this Agreement without any requirement of notice or cure opportunity.

• Costs associated with the identification, testing, remediation, cleanup, discharge, removal, transportation and disposal of such Hazardous Substance or Hazardous Waste shall be borne by the Borough, except to the extent it is determined that such resulted from Company Breach or the negligence or willful misconduct of the Company in which event all such costs shall be borne by the Company.

Company Breach shall have the meaning specified in Section 19.2.

Company Breach means (a) any breach or failure of compliance by the Company with its obligations hereunder or (b) any negligent or willful misconduct by the Company, its officials, agents, employees, representatives or independent contractors or Subcontractors of any tier, in each case, that materially and adversely affects the Borough’s performance or the Borough’s rights or obligations under this Agreement.
