Company Breach definition

Company Breach has the meaning ascribed to such term in Section 10.4(b).

  • Negative deviations of agreed targets (on individual level, level of responsibility or level of the Company), Breach of Duty and Unconscionable Conduct shall lead to a reduction of 1-100% of the Variable Remuneration (100% means no award of Variable Remuneration).

  • Failure to comply with Section 6.1 shall be considered a material breach of this Agreement and shall be governed by Section 20.2 below (Company Breach).

  • If by the 30th day following the Contract Date, the Commencement Date Conditions have not been satisfied and such failure is due to a Company Breach or other Company fault, such failure shall constitute an Event of Default on the part of the Company for which the Borough may terminate this Agreement without any requirement of notice or cure opportunity.

  • Costs associated with the identification, testing, remediation, cleanup, discharge, removal, transportation and disposal of such Hazardous Substance or Hazardous Waste shall be borne by the Borough, except to the extent it is determined that such resulted from Company Breach or the negligence or willful misconduct of the Company in which event all such costs shall be borne by the Company.
