Committed Purchaser definition

Committed Purchaser means, with respect to a CP Conduit, each Class B Purchaser identified as a Committed Purchaser for such CP Conduit on the signature pages hereto or in the Transfer Supplement or Joinder Supplement pursuant to which such CP Conduit became a party hereto, and any Assignee of such Class B Purchaser to the extent such Assignee has assumed, pursuant to a Transfer Supplement, the Commitment of such Class B Purchaser.

Committed Purchaser means each Person listed as such as set forth on the signature pages of this Agreement.

Committed Purchaser means each Person listed as such (and its respective Commitment) for each Purchaser Group as set forth on the signature pages of this Agreement or in any Assumption Agreement or Transfer Supplement.

Examples of Committed Purchaser in a sentence

• The amount of the Commitment of the selling Related Committed Purchaser allocable to such Purchasing Related Committed Purchaser shall be equal to the amount of the Commitment of the selling Related Committed Purchaser transferred regardless of the purchase price, if any, paid therefor.

• The Transfer Supplement shall be an amendment hereof only to the extent necessary to reflect the addition of such Purchasing Related Committed Purchaser as a “Related Committed Purchaser” and any resulting adjustment of the selling Related Committed Purchaser’s Commitment.

• Any such assignment by Related Committed Purchaser cannot be for an amount less than $10,000,000.

• Notwithstanding anything herein to the contrary, a CP Conduit may execute this Agreement as both a CP Conduit and a Committed Purchaser and, in such event, such CP Conduit shall have the rights and obligations of both a CP Conduit and a Committed Purchaser set forth herein.

• This Agreement has been duly authorized, executed and delivered by such Committed Purchaser.

More Definitions of Committed Purchaser

Committed Purchaser means any Alternate Purchaser or any Non-Conduit Committed Purchaser.

Committed Purchaser means each Person listed as such on the signature pages of this Agreement or in any Assumption Agreement or Transfer Supplement.

Committed Purchaser means, as to any Purchaser Group, each of the financial institutions listed on Schedule A hereto as a “Committed Purchaser” for such Purchaser Group, or in any Assignment Agreement or Joinder Agreement as a “Committed Purchaser” for the applicable Purchaser Group, together with its respective successors and permitted assigns.

Committed Purchaser means, with respect to any Purchaser Group, each of the financial institutions specified as such on Schedule II to this Agreement or in the applicable Assignment and Acceptance Agreement pursuant to which such Person becomes a party hereto and their respective successors and permitted assigns, and “Committed Purchasers” shall mean, collectively, all of the foregoing.

Committed Purchaser means, with respect to each Ownership Group, each financial institution identified as a “Committed Purchaser” for such Ownership Group on Schedule I hereto or in the applicable Transfer Supplement with respect to such Ownership Group pursuant to which such financial institution becomes a “Committed Purchaser” party hereto.

Committed Purchaser means Credit Suisse AG, Cayman Islands Branch, and its successors and assigns.
