Cloud Solution definition

Cloud Solution means the company CLOUD SOLUTIONS SAS with a capital of 108,112 euros, which head office is located at 23 rue d’Anjou, 75008 Paris, registered with the Commercial Register of the Companies of Paris under the following number 528 893 522 and represented by its legal representative Mr. Antoine Duboscq.

Cloud Solution means the information technology and computing infrastructure to be made available by the Supplier to the Purchaser in accordance with the requirements in the Contract so that the Purchaser can receive Cloud Services;

• For the duration of an Authorized User Agreement, the Cloud Solution shall conform to the Cloud Solution Manufacturer’s specifications, Documentation, performance standards (including applicable license duration, warranties, guarantees, Service Level Agreements, service commitments, and credits).

• If required in the Authorized User Agreement, the Contractor shall provide a Business Continuity and Disaster Recovery plan specific to the entire Cloud Solution provided.

• As part of the RFQ process Authorized Users must make a business decision, based on their Data categorization results, as to the appropriateness of a Cloud Solution.

• Any Remote Administration, Maintenance/support service that falls under the definition of Cloud Solution as stated in Section 2.5 - Glossary must be included in Lot 3 – Cloud.

• Cloud Paired Appliances Hardware that requires a Cloud Solution to function as defined in "Cloud Solution".

Cloud Solution means the Cloud Services, Software, Support Services and such tailored information technology products as more fully described in the Quotation or as agreed between the parties from time to time;

Cloud Solution means the integrated software system as described in the Scope Documentation comprising one or more 3rd party cloud based solutions or software plug-ins, any necessary integration(s) between them, including customisations, configurations, components and source code (whether compiled, machine readable or otherwise), reports, technical information, calculations and any data. “Component” means the individual components which in their entirety comprise the Cloud Material, including intellectual property rights attaching to those components held by any person or third party.
