Examples of Claims and Losses in a sentence
Provider shall be responsible for any-and-all Claims and Losses arising out of or related to (a) the Work or any other acts or omissions by Provider while at a Community or otherwise, including without limitation any breach of this Agreement, or (b) the Information of Provider.
Company Parties reserve the right to assume the exclusive defense and control of any Claims and Losses.
Unless expressly stated otherwise in this Agreement, and to the extent permitted by law, our liability in respect of any and all Claims and Losses arising in connection with the supply of the Service or this Agreement is excluded.
The Institution shall indemnify and hold harmless the Indemnified Parties from and against all Claims and Losses arising from such supply, use or keeping, including without limitation Claims and Losses arising from: injury to the Institution's employees and third parties; infringement of third party intellectual property rights; and use of the Materials within or outside the scope of this Agreement.
Additionally, to the extent the Indemnifying Party is prejudiced thereby, the failure to provide a Claim Notice to the Indemnifying Party shall relieve the Indemnifying Party from liability for such Claims and Losses that it may have to the Indemnified Party, but only to the extent the liability for such Claims or Losses is directly attributable to such failure to provide the Claim Notice.
