Capital Account Balance definition

Capital Account Balance shall have the meaning set forth in Section 5.1.
Capital Account Balance means the Capital Account balance for each Holder adjusted pursuant to Section 11.02 of the Standard Terms for all events having occurred immediately prior to the time of determination.
Capital Account Balance means with respect to a Partner, the balance in that Partner’s Capital Account.

  • To the Holders of Class A Certificates the amount of each such Holder’s liquidating distribution with respect to the remaining portion of their Capital Account Balance as determined by Freddie Mac in accordance with Section 11.02 of the Standard Terms (generally equal to Gain Share as calculated pursuant to the Series Certificate Agreement).

  • The initial Opening Capital Account Balance of each Member shall be equal to such Member’s Initial Capital Contribution.

  • To the Holders of Class A Certificates the amount of each such Holder’s liquidating distribution with respect to the remaining portion of their Capital Account Balance as determined by Freddie Mac in accordance with Sec- tion 11.02 of the Standard Terms (generally equal to Gain Share as calculated pursuant to the Series Certificate Agreement).

  • With respect to any Member, notwithstanding the provisions of Section 6.1, the amount of Tax Book Loss for any Fiscal Year or other period that would otherwise be allocated to a Member shall not cause or increase a deficit Adjusted Capital Account Balance.

  • If any Member would otherwise have a deficit Adjusted Capital Account Balance as of the last day of any Fiscal Year or other period, items of Company taxable income and gain as adjusted pursuant to the definition of “Tax Book Profit” shall be specially allocated to such Member so as to eliminate such deficit as quickly as possible.


More Definitions of Capital Account Balance

Capital Account Balance means, with respect to any Member, the positive Capital Account balance of such Member as of the date of this Agreement, the amount or deemed value of which is set forth on Exhibit A.
Capital Account Balance shall have the meaning ascribed to it in Section 3.3 of this Agreement.
Capital Account Balance means, with respect to Seller and each Partnership, Seller’s capital account balance in such Partnership as determined by the respective Manager of such Partnership and reported on the financial statements of such Partnership, as of the Cut Off Date, as set forth in Schedule 5(g). For purposes of clarification, the foregoing definition of Capital Account Balance refers to the net asset value of such Interest as determined by the respective Manager of such Partnership and reported on the financial statements of such Partnership as of the Cut Off Date (and not the income tax capital account of Seller in each Partnership).
Capital Account Balance is determined by adding a Member's Capital Contribution, if any, and subtracting distributions made pursuant to subsection 4.1 or tax related payments made pursuant to subsection 4.2. It shall also include each Member's share of Profits or Losses when determined and allocated pursuant to subsection 3.1.
Capital Account Balance means an account, and the balance of such account, maintained in accordance with Regulation Section 1.704-1(b)(2)(iv), except that the Partnership shall compute its Net Income and Net Loss in accordance with the adjusted tax basis of Partnership Property. The Partnership expects to comply with the economic equivalence test of Regulation Section 1.704-1(b)(2)(ii)(i).
Capital Account Balance means the amount of the capital account of Seller in the Portfolio Partnership as determined by the General Partner.
Capital Account Balance means, with respect to any Interest, a Seller’s capital account balance in the applicable Transferred Entity with respect to such Interest as determined by the respective general partner or manager of such Transferred Entity and reported on the financial statements of such Transferred Entity, as of the Cut Off Date.
