CapEx Amount definition

CapEx Amount means the aggregate amount of capital expenditures (whether funded through capital contributions, debt incurrence, cash on hand or otherwise) made or accrued by the Acquired Companies from and after January 1, 2013 through the Closing.
CapEx Amount has the meaning specified in Section 7.17.
CapEx Amount means an amount equal to One Dollar ($1.00) (as adjusted at the end of each Lease Year for increases since the Effective Date in the CPI). “Upgrade Expenditures” means expenditures in commercially reasonable amounts to Persons not affiliated with Tenant for (i) upgrades or improvements to each Facility that have the effect of maintaining or improving such Facility, including new or replacement wallpaper, tiles, window coverings, lighting fixtures, painting, upgraded landscaping, carpeting, architectural adornments, common area amenities and the like, including, without limitation, capital improvements or repairs (including repairs or replacements of the roof, structural elements of the walls, parking area or the electrical, plumbing, HVAC or other mechanical or structural systems), and (ii) other improvements to each Facility as reasonably approved by Landlord, which shall include those matters, if any, that Landlord has approved in writing as of the Effective Date based on descriptions and budgets that Tenant has provided prior thereto.

More Definitions of CapEx Amount

CapEx Amount means, for each Earnout Year, an amount equal to aggregate capital expenditures actually made or incurred by PRE in such Earnout Year with respect to the acquisition, upgrading or improvement of the Facility, or component parts thereof or equipment used therein, but excluding operating expenditures, including on ordinary course repairs or maintenance, all as accrued in accordance with GAAP.
CapEx Amount means the amount actually incurred by HEP, net of reimbursables, from and after January 1, 2013 and on or before the Effective Time on the capital expenditures set forth in Schedule 1.3(a)(i) of the Disclosure Schedule, provided that, to the extent that such capital expenditures are incurred after the date hereof, they are incurred in accordance with Section 5.12 hereof. Prior to the Closing, the parties shall agree on a schedule that sets forth the process by which the Estimated Capex Amount shall be determined.

CapEx Amount means, in relation to any relevant accounting period, the amount estimated by the Borrowers in good faith to be the aggregate on a consolidated basis of the amounts to be payable by the Borrowers during the two next accounting periods for special surveys, intermediate surveys and regulatory requirements applicable to the Vessels.
