Business Cash definition

Business Cash means the aggregate amount of cash and the fair market value of cash equivalents (including marketable securities, deposits in transit and accrued interest, less checks and drafts issued by not yet cleared), determined in accordance with the Calculation Principles that, as of immediately prior to the Effective Time, is retained by the Purchased Entities and transferred to Buyer or one of its Affiliates by virtue of the acquisition of the Purchased Shares hereunder; provided that (a) any cash or cash equivalents retained by the Mexican Subsidiary in excess of $500,000 and (b) any cash or cash equivalents retained by the Chinese Subsidiary in excess of $10,000,000 shall be reduced, in each case, by 10% for purposes of computing the Estimated Business Cash and the Final Business Cash.
Business Cash means, on any date, the aggregate amount of cash and cash equivalents calculated in accordance with the Calculation Principles and measured at the Designated Exchange Rate (as applicable) in respect of such determination date that is retained by the Purchased Entities as of the Effective Time; provided that, (a) for purposes of calculating Business Cash, (i) cash or cash equivalents which is not freely usable because it is subject to contractual restrictions or limitations (including security deposits) shall be excluded from the calculation of Business Cash and (ii) cash or cash equivalents in non-U.S. jurisdictions in excess of the amounts set forth under the header “Business Cash Limits” in the applicable jurisdictions set forth on Schedule 1.1(a)(ii) of the Sphinx Disclosure Letter shall be excluded and Business Cash in all jurisdictions in the aggregate in excess of the amount set forth under the header “Overall Business Cash Limits” shall be excluded (unless Arion determines, in its sole discretion, to increase the “Business Cash Limit” in any jurisdiction, in which case the excess cash in such jurisdiction up to such increased “Business Cash Limit’ shall be included as Business Cash) and (b) Business Cash shall include or exclude checks, wires and drafts in transit or cut but uncashed, in each case to the extent required by GAAP.
Business Cash means any Cash of the Target Company or Target Subsidiaries as of the Reference Time, determined in accordance with the Accounting Convention.

Business Cash means all cash and cash equivalents of the Business, including restricted cash, Currency on Hand, determined in a manner consistent with the Business’ past practice. For the avoidance of doubt, Business Cash will be calculated net of issued but uncleared checks and drafts (to the extent not otherwise an accrued liability in the Closing Date Net Working Capital) and will include checks, credit card receivables, other wire transfers and drafts deposited or available for deposit for the account of the Business (to the extent not otherwise included as a current asset in the Closing Date Net Working Capital). For avoidance of doubt, Business Cash shall include all cash in respect of revenues of the Business for sales of the Business occurring prior to the Closing (to the extent such sales are not accounted for as accounts receivable in Net Working Capital).
Business Cash means cash generated by the Business operated under the name of and/or through, Shaanxi International (defined in the Preliminary Statement above) or HK Co. (defined in the Preliminary Statement), as of the Effective Date and wherever located.

  • Business Acquisition means the acquisition, by purchase or otherwise, of all or substantially all of the assets (or any part of the assets constituting all or substantially all of a business or line of business) of any Person, whether such acquisition is direct or indirect, including through the acquisition of the business of, or Capital Stock of, such Person.

  • Petty Cash means a sum of money set aside on an imprest basis for the purpose of making change or paying small obligations.

  • Capital Equipment means machinery and equipment purchased or leased, and used in this state by the purchaser or lessee primarily for manufacturing, fabricating, mining, or refining tangible personal property to be sold ultimately at retail if the machinery and equipment are essential to the integrated production process of manufacturing, fabricating, mining, or refining. Capital equipment also includes machinery and equipment used primarily to electronically transmit results retrieved by a customer of an online computerized data retrieval system.

  • Estimated Closing Net Working Capital has the meaning set forth in Section 2.5.

  • At-home recovery visit means the period of a visit required to provide at home recovery care, without limit on the duration of the visit, except each consecutive four (4) hours in a twenty-four-hour period of services provided by a care provider is one visit.

  • Mobility enhancing equipment means equipment, other than durable medical equipment or a motor vehicle or equipment on a motor vehicle normally provided by a motor vehicle manufacturer, dispensed pursuant to a prescription, including repair or replacement parts for that equipment, that is all of the following:
