Business Books and Records has the meaning ascribed to it in Section 1.1(a)(xiii).

  • If any Current Business Books and Records contain portions of information that is unrelated to the Business, only such portions of the Current Business Books and Records related to the Business will be delivered to Purchaser.

  • The Seller Parties’ Books and Records, including the Business Books and Records, have been properly prepared and maintained in form and substance adequate for preparing Seller’s audited financial statements in accordance with GAAP.

More Definitions of Business Books and Records

Business Books and Records means all files, paperwork and all other books, records or business files of any Seller pertaining to the Acquired Assets or the Assumed Liabilities, other than the Excluded Books and Records.
Business Books and Records means, to the extent related to the Business, the Purchased Assets or the Assumed Liabilities, all of the files, regulatory filings, technical documentation, user documentation, work papers, personnel and employment records, supplier and customer lists, financial and accounting books records, reports, budgets, forecasts, purchase orders and invoices, sales orders and sales order log books, cost and pricing information, marketing documentation, correspondence and miscellaneous records; provided that the Business Books and Records shall not include personnel and employment records for employees and former employees who are not Transferred Business Employees.
Business Books and Records means the Books and Records evidencing or primarily related to the Purchased Assets or Assumed Liabilities or otherwise required for the operation of the Business.
Business Books and Records means, to the extent primarily related to the Purchased Assets or the Assumed Liabilities, all of the files, regulatory filings, technical documentation, including design history files, device history and device master records, complaint files and other records maintained for regulatory compliance, user documentation, work papers, personnel and employment records, supplier and customer lists, financial and accounting books records for the past three years, budgets and forecasts for the past year, sales order log books and related invoices, pricing information and marketing documentation, in each case existing as of the Closing Date and solely to the extent the transfer of which does not violate applicable Law; provided that the Business Books and Records shall not include personnel and employment records for employees and former employees who are not Continuing Employees or Transferred Business Employees (if any).
Business Books and Records means the books and records of Seller, including all computerized books and records owned by Seller, to the extent they relate to the Business, the purchase of materials, supplies and services for the Business, the manufacture and sale of products by the Business or dealings with customers of the Business and all files relating to the Assumed Liabilities and excluding books and records relating solely to Taxes of Seller.
Business Books and Records means the Books and Records of the Business.
