The parties acknowledge that Forecasts shall be based on Arrowhead's good faith efforts to accurately reflect the timing and amount of Product orders on all relevant information available to Arrowhead at the time of the Forecast. Notwithstanding the foregoing, Arrowhead will promptly notify Manufacturer of any material change in the applicable Forecast, which Arrowhead anticipates as a result of market developments or other relevant factors. The parties acknowledge and agree that any failure or inability of Arrowhead to meet any 180 Day Forecast shall not be deemed a breach of this Agreement.
