Authorized Demand Signal means a fax or EDI transmission or Purchase Order Form containing Applied's supply requirements information that is sent by Applied to Supplier for Blanket Order or Purchase Order purchases, as described in Section 2.1.5.

Authorized Demand Signal means an order for Item(s) communicated pursuant to this Agreement by Applied to Supplier via (i) a purchase order (whether in hardcopy or electronic form), (ii) EDI or other electronic transmission, or (iii) Applied’s designated on-line purchasing system. All Authorized Demand Signals are deemed to be incorporated into this Agreement by this reference.

Examples of Authorized Demand Signal in a sentence

  • Delivery will be considered timely only if Items are delivered in the correct quantity, and at the time, date and location specified in the Authorized Demand Signal.

  • Supplier shall meet the (i) negotiated lead time; (ii) order adjustment requirements as set forth in Section 3; and (iii) time, date, location and other delivery requirements for Items, as specified in Attachment 1 or, if not set forth in Attachment 1, as set forth in the Authorized Demand Signal for said Items, irrespective of which Applied organization or division has issued the Authorized Demand Signal.

  • No cure period shall be available for termination of an Authorized Demand Signal for default.

  • Supplier shall promptly communicate its acceptance or rejection of an Authorized Demand Signal.

  • Any notice of default shall be in writing, reference this Section 21(a), state whether the notice relates to a specified Authorized Demand Signal (under i above) or to this Agreement (under i or ii above), and specify the basis for such notice (the “Defaulting Condition”).

  • Such a cancellation may be for any reason including a reduction in the quantity of an Item ordered under an Authorized Demand Signal.

  • Unless otherwise notified, Applied's receiving inspection will inspect to the latest revision in effect per the Authorized Demand Signal.

  • Supplier shall not, however, reject an Authorized Demand Signal for Items set forth on Attachment 1 so long as the Authorized Demand Signal conforms to the terms and conditions of this Agreement.

  • Such a cancellation may be for reasons including a reduction in the quantity of an Item ordered under an Authorized Demand Signal.

  • Applied may cancel Items in accordance with this Section 2.3 at any time by written or electronic notice (but not telephone or verbal notice) to Supplier's Customer Service Manager (Austin or Milpitas, as applicable) as designated in Section 1.2, between (a) the date on which Applied's Authorized Demand Signal has been accepted or deemed accepted and (b) the Committed Delivery Date.

  • Authorized Driver means any of the following:

  • Commercial use request means a re- quest from or on behalf of one who seeks information for a use or purpose that furthers the commercial, trade, or profit interests of the requester or the person on whose behalf the request is made.

  • Authorized Dealer means a person authorized as an authorized dealer under sub- section (1) of section 10 of FEMA.

  • Authorized Signer is any individual listed in Borrower’s Borrowing Resolution who is authorized to execute the Loan Documents, including making (and executing if applicable) any Credit Extension request, on behalf of Borrower.

  • Railroad sign or signal means any sign, signal, or device erected by authority of a public body or official or by a railroad and intended to give notice of the presence of railroad tracks or the approach of a railroad train.

The designated person should hold the Power of Attorney duly authorizing him/ her to perform all tasks including but not limited to sign and submit the Proposal to participate in all stages of the RFP Process, to conduct correspondence for and on behalf of the agency, and to execute any document required to give effect to the outcome of the RFP Process;

  • Authorized aftermarket manufacturer means an organization that fabricates a part under a contract with, or with the express written authority of, the original component manufacturer based on the original component manufacturer’s designs, formulas and/or specifications.

  • Peak Demand means the maximum Metered Demand in the last 12 months;

  • Authorized City Representative means the Mayor, City Manager, Finance Director, City Clerk or such other person at the time designated to act on behalf of the City as evidenced by written certificate furnished to the Company and the Trustee containing the specimen signature of such person and signed on behalf of the City by its Mayor. Such certificate may designate an alternate or alternates each of whom shall be entitled to perform all duties of the Authorized City Representative.

  • Merchant Shipping Notice means a Notice described as such, issued by the Maritime and Coastguard Agency, and any reference to a particular Merchant Shipping Notice includes a reference to any such document amending or replacing that Notice which is considered by the Secretary of State to be relevant from time to time;

  • Authorized Use The Student Data shared pursuant to the Service Agreement, including persistent unique identifiers, shall be used for no purpose other than the Services outlined in Exhibit "A" or stated in the Service Agreement, or authorized under the statutes referred to herein by this DPA. Contractual Agreement terms include, but are not limited to, distribution region, distribution products or lines, and warranty flow down from the OCM/OEM. Under this distribution, the distributor would be known as an Authorized Distributor. The term Franchised Distributor is considered synonymous with Authorized Distributor.

  • Request for Letter of Credit means a written request for a Letter of Credit substantially in the form of Exhibit D, together with the standard form of application for letter of credit used by the applicable Issuing Bank, signed by a Senior Officer of the applicable Borrower and properly completed to provide all information required to be provided therein.
