ASP Services definition

ASP Services means application services that are provided by Partner who allow End Users to remotely access, or otherwise receive the benefits of, the Software used in combination with Partner Products installed on hardware owned or controlled and in any event operated by Partner via a private network or the Internet. ASP Services may include providing administration, installation, redundancy, back-up and technical support services as they apply to the deployment and management of the Software.
ASP Services means the services provided by Blackboard pursuant to this ASP Schedule. The initial ASP Services are indicated an the table above.
ASP Services means the Software and Documentation described below, and on the Purchase Documents, and on any agreement subsequently signed by the Parties and incorporated by reference into the Purchase Documents, as both may be made available by RNL to Subscriber for use as a service in accordance with the Agreement.

Examples of ASP Services in a sentence

  • If Lessor is unable to provide a correction or workaround pursuant to the terms governing the provision of the ASP Services after using commercially reasonable efforts, Lessor may terminate such Schedule upon written notice to Lessee.

  • Lessor does not warrant that Xxxxxx’s use of the ASP Services will be error free or uninterrupted.

  • Subject to the Lessee being current with payments under the Master Agreement, Lessor states with respect to any ASP Services that (i) Lessor has the right to license the Access Software and Documentation and make the ASP Services available to Lessee pursuant to this ASP Agreement and (ii) the ASP Services, when used as permitted and in accordance with the Documentation, will materially conform to the Documentation.

  • Lessee will notify Lessor in writing of operating issues with respect to any ASP Services prior to the expiration or termination of the associated Schedule for such ASP Services.

  • During the Term and for a period of six months following the termination or expiration of this ASP Agreement, upon prior written notice, Lessor will have the right, during normal business hours, to inspect, or have an independent audit firm inspect, Xxxxxx’s records relating to Lessee’s use of the ASP Services to ensure it is in compliance with the terms of this ASP Agreement.
