Applicable Units definition

Applicable Units mean the ERP OP Units issued pursuant to the Unit Contribution Agreements, the ERP OP Units issued to the EWR Unit Holders in liquidation of EWR Partnership and any ERP OP Units issued upon any subsequent transfer of such ERP OP Units (regardless of the number of transfers). EQR further covenants that it will not voluntarily prepay (y) the securitized debt arising under the Deed of Trust with Assignment of Rents, Security Agreement and Fixture Filing dated as of August 17, 1994 with EWR Finance Partnership L.P. or (z) the fixed rate loan from Northwestern Mutual Life Insurance Company to EWR Partnership (each a "EWR Debt") until the date the EWR Debt in question can be prepaid without penalty or premium.
Applicable Units means the Hopmeadow II Limited Partner LP Units of the Hopmeadow II Limited Partner executing a separate letter of transmittal in accordance with the Merger Agreement (each, a “Hopmeadow II LP Letter of Transmittal”). Upon (i) fully completing, signing and returning this Letter of Transmittal and (ii) returning each Hopmeadow II LP Letter of Transmittal, Hopmeadow II will have the right to receive, in respect of each Applicable Unit it holds, a payment equal to the Per LP Unit Closing Merger Consideration (less applicable withholding taxes, if any). You understand that you will not receive Per LP Unit Closing Merger Consideration payments in respect of the Applicable Units indirectly held by any Hopmeadow II Limited Partner, as indicated on Annex A hereto, unless and until you and such Hopmeadow II Limited Partner deliver to the LP Unitholder Representative (and the LP Unitholder Representative delivers to Parent) copies via electronic mail to the email address set forth below of:
Applicable Units means your Total Hopmeadow [Cayman LP]2 Units set forth in the Payment Statement. Upon (i) your fully completing, signing and returning this Letter of Transmittal and returning the Payment Statement and (ii) Hopmeadow II completing, signing and returning its Letter of Transmittal in respect of the LP Units it holds Hopmeadow II will have the right to receive, in respect of the Applicable Units held by you, a payment equal to the Sale Proceeds. You understand that Hopmeadow II will not receive the Sale Proceeds payment in respect of the Applicable Units held by you unless and until you deliver to the LP Unitholder Representative (and the LP Unitholder Representative delivers to Parent) copies via electronic mail to the email address set forth below of:

Examples of Applicable Units in a sentence

  • Foreign exchange risk (if Applicable) Units in some Series may have exposure to a foreign currency/ exchange rate.

  • You further waive any and all rights that you may have to acquire additional Applicable Units pursuant to any option agreement, warrant or otherwise.

  • You hereby agree that other than the right to receive the payments to which you are entitled pursuant to the Merger Agreement upon compliance with the instructions contained in this Letter of Transmittal, you shall have no further rights arising out of or relating to any Applicable Units that you owned immediately prior to the Effective Time and, at the Effective Time, by virtue of the Merger, such Applicable Units shall be automatically cancelled without any further action required on your part .


More Definitions of Applicable Units

Applicable Units means Unit A03, A05, A06, A07, A08, A09 & D01 on 6 & 11 Floor at Wing 1 and Unit D01 on 9 Floor at Wing 1.

Applicable Units means the Class A Units issued pursuant to the TRO Contribution Agreement, the Court at Oxford Valley Contribution Agreement, the Hillview Contribution Agreement, the Northeast Contribution Agreement and the Predevelopment Properties Contribution Agreement.

Related to Applicable Units

  • Restricted Units means that number of restricted units listed in the Award Letter as “Awards Granted.”

  • Incentive Units means those Partnership Interests described in Section 2 of the Incentive Unit Agreement.

  • Initial Units means, with respect to any Initial Limited Partner, the aggregate number of Class A Units owned by such Initial Limited Partner as of the date of this Agreement.

  • Units means the units of the Company, each comprised of one share of Common Stock and one-half of one Warrant.

  • Core Units means such Units of the Trust that are issued to Core Investors with the condition that these are not redeemable for a period of two years from the close of the First Offer Period. Such Units are transferable with this condition, but otherwise shall rank pari passu with all other Units, save for this restriction. Any transfer of the Core Units, during the first two years of their issue as mentioned herein, shall be affected only on the receipt by the Registrar of a written acceptance of this condition by the transferee.

  • Vested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Restricted Share Units means an Award which may be earned in whole or in part upon the passage of time or the attainment of performance criteria established by the Administrator and which may be settled for cash, Shares or other securities or a combination of cash, Shares or other securities as established by the Administrator.

  • Additional Units means such Units (as defined herein) as are issued in respect of Additional Securities."

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Covered Units means: (i) during the period of the Employee’s employment with the Corporation, each business unit of the Corporation; and (ii) following the Employment Termination Date, each business unit of the Corporation in or for which the Employee was employed or to which the Employee provided services or about which the Employee obtained or had access to Confidential Information, in each case of this clause (ii) at any time within the twenty-four (24)-month period prior to the Employment Termination Date. The Employee acknowledges and agrees that if the Employee is or was employed at a segment level, the Employee is providing or has provided services to and for, and has obtained and has or had access to Confidential Information about, each business unit of such segment; and if the Employee is or was employed at the corporate/headquarters level, the Employee is providing or has provided services to and for, and has obtained and has or had access to Confidential Information about, each business unit of the Corporation.

  • Class B LP Units means, collectively, the Class B limited partnership units of the Partnership, and “Class B LP Unit” means any one of them.

  • LTIP Units means a Partnership Unit which is designated as an LTIP Unit and which has the rights, preferences and other privileges designated in Section 4.6 and elsewhere in this Agreement in respect of holders of LTIP Units. The allocation of LTIP Units among the Partners shall be set forth in the Partner Registry, as it may be amended or restated from time to time.

  • Restricted Shares shall have the respective meanings set forth in Section 2.14.

  • Class B Common Units has the meaning set forth in Section 1(a) hereof.

  • Class A LP Units means the Class A limited partnership units of the Partnership.

  • Eligible Unit means, at the Cut-Off Date, a Unit:

  • Common Units is defined in the Partnership Agreement.

  • Class B Units means the Class B Units of the Company.

  • Management Shares means a management share in the capital of the ICAV which shall have the right to receive an amount not to exceed the consideration period for such Management Share.

  • Class A Units means the Units of partnership interest in the Partnership designated as the “Class A Units” herein and having the rights pertaining thereto as are set forth in this Agreement.

  • Company Restricted Share means each restricted share of Company Common Stock outstanding as of the Effective Time granted pursuant to any equity or compensation plan or arrangement of the Company.

  • Ordinary Shares Equivalents means any securities of the Company or the Subsidiaries which would entitle the holder thereof to acquire at any time Ordinary Shares, including, without limitation, any debt, preferred stock, right, option, warrant or other instrument that is at any time convertible into or exercisable or exchangeable for, or otherwise entitles the holder thereof to receive, Ordinary Shares.

  • Class A Common Units means the Company's Class A Common Units.

  • Unvested Units means any Executive Units which are not Vested Units.

  • Restricted Share means a Share awarded to a Participant pursuant to Article 6 that is subject to certain restrictions and may be subject to risk of forfeiture.

  • Class C Units means the Class C Units of the Company.
