Agent’s Warrants definition

Agent’s Warrants means the share purchase warrants of the Issuer which will be issued as part of the Agent’s Fee and which have the terms provided in this Agreement and the certificates representing such share purchase warrants;
Agent’s Warrants means the warrants to purchase Shares of the Company issued to the Agent as more fully described under “Plan of Distribution”.
Agent’s Warrants means the share purchase options of the Company forming a part of the Agent’s compensation and having the terms set out in section 3.1(b) hereof;

  • Xxxxxx has issued the Options to its current board members and the Agent’s Warrants in consideration of services performed in respect of its initial public offering.

  • All necessary corporate action has been taken, or will be taken before Closing, to authorize the issue and sale of, and the delivery of certificates representing, the Offered Shares and the Agent’s Warrants and, upon payment of the requisite consideration therefor, the Offered Shares and Agent’s Warrant Shares will be validly issued as fully paid and non-assessable Common Shares.

More Definitions of Agent’s Warrants

Agent’s Warrants has the meaning ascribed thereto in the opening paragraphs of this Agreement;
Agent’s Warrants means the non-transferable share purchase warrants of the Issuer to be issued to the Agent pursuant to Subsection 3.3;
Agent’s Warrants. The Issuer shall issue on closing to the Agent warrants to purchase Common Shares equal to 10% of the aggregate subscription amount. The Agent's Warrants shall expire 3 years after the Initial Closing Date and shall have an exercise price based on a post second tranche valuation of US$25.5 million (approximately US$1.53 per share).
Agent’s Warrants has the meaning ascribed thereto on the cover page of this Agreement;
Agent’s Warrants means the Warrants issued to the Agent as compensation under the Agency Agreement, with each Agent’s Warrant entitling the Agent to purchase one Agent’s Unit at an exercise price of $0.35 per Agent’s Unit until the date which is twenty-four (24) months after the Listing Date;
Agent’s Warrants means the share purchase warrants to purchase up to a maximum of 1,600,000 Shares granted to the Agent as described under the heading “Plan of Distribution”.
Agent’s Warrants means the non-transferable share purchase warrants to be issued by the Corporation to the Agent and any sub-agents as partial consideration for acting as agent or sub-agent, as the case may be, in the Offering. Each Agent’s Warrant will entitle the holder to purchase one Agent’s Warrant Share at an exercise price of $0.30 per Agent’s Warrant Share at any time prior to 5:00 p.m. (Vancouver time) on the date that is 24 months following the Closing.
