The Acquired Companies are not under any obligation, whether written or otherwise, to develop any customized Intellectual Property (including any elements of any Acquired Company Products) for any Person (including any customer or end user) (except with respect to installation and configuration requirements in customer agreements entered into in the Ordinary Course of Business).
The Acquired Companies have not disclosed any material confidential Acquired Company Intellectual Property (including the source code to any Acquired Company Products) to any Person other than pursuant to a written confidentiality agreement pursuant to which such Person agrees to protect such confidential information.
The IT Systems and Acquired Company Products are free from Malicious Code, and the Acquired Companies have not received any complaints in writing from any customers related to the foregoing.
