THIS MANAGEMENT AND DEVELOPMENT AGREEMENT (“Agreement”) is made effective July 1, 2005 (the “Effective Date”), by and between MAB Resources LLC, with an office at 1601 Blake Street, Suite 505, Denver, Colorado 80202-1329 (hereinafter “MAB”), and GSL Energy Corporation, with an office at 1601 Blake Street, Suite 505, Denver, Colorado 80202-1329 (hereinafter “GSL”).
