THIS ESCROW AGREEMENT (this “Agreement”) is made and entered into as of August 1, 2019, by and among Quaker Chemical Corporation, a Pennsylvania corporation (“Buyer”), Gulf Houghton Lubricants, Ltd., as representative (the “Sellers’ Representative,” and together with Buyer, the “Parties” and each individually a “Party”) of the former shareholders (the “Sellers”), optionholders (the “Optionholders”) and holders of share appreciation rights (“SAR Holders”) of Global Houghton Ltd., an exempted company incorporated under the Laws of the Cayman Islands (the “Company”); and Citibank N.A. (the “Escrow Agent”). Capitalized terms not defined herein shall have the meanings assigned to them in that certain Share Purchase Agreement, dated as of April 4, 2017 (the “Purchase Agreement”), by and among Buyer, the Company, the Sellers, the Optionholders, SAR Holders and the Sellers’ Representative.

THIS SHARE PURCHASE AND SALE AGREEMENT (this “Agreement”) is made as of August 10, 2022, by and between Citigroup Global Markets Inc. (“Seller”) and QH Hungary Holdings Limited (“Buyer”). Seller and Buyer are sometimes referred to in this Agreement together as the “Parties” or individually as a “Party”.

The Transferor and the Remaining Party have entered into two Transactions as identified in the attached Annex (each, an "Old Transaction"), one of which evidenced by a Supplemental Confirmation dated March 9, 2021 and the other evidenced by a Supplemental Confirmation dated August 27, 2020 (each, an "Old Confirmation"), each subject to the Master Terms and Conditions for Prepaid Variable Share Forward Transactions dated as of August 27, 2020 between the Transferor and Counterparty (as amended and supplemented from time to time, the "Transferor Master Confirmation"), each attached hereto.
