Common use of Withdrawal of Member Clause in Contracts

Withdrawal of Member. If a Member Transfers all of its Units pursuant to Section 11.1 and the transferee of such interest is admitted as a Member pursuant to Section 11.3 (whether or not such Member’s status is limited pursuant to Section 11.8), such transferee shall be admitted to the Company as a Member effective on the effective date of the Transfer or such other date as may be specified when the transferee is admitted and, immediately following such admission, the transferor Member shall cease to be a Member of the Company. Upon the transferor Member’s withdrawal from the Company, the withdrawing Member shall not be entitled to any Distributions, or any other rights associated with an Interest in the Company, from and after the date of such withdrawal or Transfer.

Withdrawal of Member. If a Member Transfers all or any portion of its Units pursuant Interest in compliance with Section 10.1, upon receipt by the Board of a joinder to Section 11.1 and this Agreement duly executed by the transferee of such interest is admitted as a Member pursuant to Section 11.3 (whether or not such Member’s status is limited pursuant to Section 11.8)transferee, such transferee shall be admitted to the Company as a Member effective on the effective date of such Transfer with respect to the Transfer or Interest transferred to such other date as may be specified when transferee and, in the transferee is admitted andevent a Member transfers all of its Interest, immediately following such admissionthe admission of the transferee, the transferor Member shall cease to be a Member of the Company. Upon the transferor Member’s withdrawal from the Company, the withdrawing Member shall not be entitled to any Distributions, or any other rights associated with an Interest in the Company, Distributions from and after the date of such withdrawal or Transferwithdrawal.
