Common use of Whole Agreement Clause in Contracts

Whole Agreement. This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereof. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and govern.

Whole Agreement. There are no agreements, arrangements or understandings, oral or written, between or among the parties relating to the subject matter hereof and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereof. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and governthat are not set forth or expressly referred to in this Agreement.

In the event of any conflict matters dealt with in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and governAgreement.

Whole Agreement. This Agreement contains sets forth all understandings and agreements between the entire understanding of Parties respecting the parties with respect to subject matter hereof, and all prior agreements, understandings, and representations, whether written or oral, respecting the subject matter hereof are merged into and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereofsuperseded by this Agreement. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement and the Market Path Firm Agreement and/or Negotiated Rate Agreement, the terms of the Market Path Firm Agreement and the Negotiated Rate Agreement shall prevail and governcontrol.

Whole Agreement. It is further understood and agreed that this Agreement may not be changed, altered or amended except in a subsequent writing signed by each of the parties with respect to the subject matter hereof and supersedes any other agreements, representations or understandings (whether oral or written and whether express or implied) with respect to the subject matter hereofhereto. In the event of any conflict This agreement may be executed in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and governmultiple originals.

In the event other of any conflict nature whatsoever or contained in terms between this Agreement and/or any leaflet brochure or other document given by one party to the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and governother concerning such subject matter.

No other agreements, representations or understandings (whether oral or written and whether express or implied) which are not expressly set forth in such agreements have been made or entered into by either party with respect to the subject matter hereof. In the event of any conflict in terms between this Agreement and/or the Plan and/or any agreement executed by and between Executive and the Company, the terms of this Agreement shall prevail and govern.
