Common use of Unauthorized Disclosure Clause in Contracts

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, Executive shall not, without the written consent of the Company Board or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process), knowingly disclose to any person, other than an employee of the Company or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive of his duties as an executive of the Company, any material confidential information obtained by him while in the employ of the Company with respect to any of the Company’s or any of its subsidiaries’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to the Company; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by the Company or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Company Board of Directors of the Bank and HNC or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Bank, HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the CompanyBank, any material confidential information obtained by him while in the employ of the Company HMS with respect to any of HNC's or the CompanyBank’s or any of its subsidiaries’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the CompanyBank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or of a business similar to that conducted by HNC or the Company Bank or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, Executive Employee shall not, without the written consent of the Company Board Boards or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Bank and the Corporation or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive Employee of his duties as an executive Employee of the CompanyBank and the Corporation, any material confidential information obtained by him while in the employ of the Company Bank and the Corporation with respect to any of the CompanyBank’s or any of its subsidiaries’ and the Corporation’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to the CompanyBank and the Corporation; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive Employee or any person with the assistance, consent or direction of ExecutiveEmployee) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by the Company Bank and the Corporation or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of The Executive shall not, during his employment hereunderemployment, ----------------------- or at any later time, the Executive shall not, without the written consent of the Company Board of Directors of the Bank and Corporation or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Bank or the Corporation or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the CompanyBank and Corporation, any material confidential information obtained by him while in the employ of the Company Bank and Corporation with respect to any of the Company’s or any of its subsidiaries’ Bank and/or Corporation's services, products, improvements, formulas, designs or styles, processes, customers, methods of business distribution or any business practices the disclosure of which could be or will be materially damaging to the Company; Bank and/or Corporation provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by the Company or any information that must be disclosed as required by lawBank and Corporation.

Unauthorized Disclosure. During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Company Board of Directors of HNC or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Bank, HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive President and Chief Executive Officer of the CompanyHNC, any material confidential information obtained by him while in the employ of the Company HMS with respect to any of the CompanyHNC’s or any of its subsidiaries’ the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC or the CompanyBank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by HNC or the Company Bank or any information that must be disclosed as required by law.

Unauthorized Disclosure. During and after the term of _______________________ his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Company Board of Directors of the Corporation or Bank or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Corporation or Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the CompanyCorporation or Bank, any material confidential information obtained by him while in the employ of the Company Corporation or Bank with respect to any of the Company’s Corporation or any of its subsidiaries’ Bank's services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be materially damaging to the Company; Corporation or Bank provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by the Company Corporation or Bank or any information that must be disclosed as required by law.

(a) During the term of his employment hereunder, or at any later time, Executive shall not, without the written consent of the Company President/CEO and the Board of Directors of the Bank or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Corporation or the Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the CompanyBank, any material confidential information obtained by him while in the employ of the Company Bank with respect to any of the CompanyCorporation’s or any of its subsidiaries’ and the Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to the CompanyCorporation or the Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by the Company Corporation and the Bank or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, Executive the Employee shall not, without the written consent of the Board of Directors of Company Board and E&B or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company and E&B or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive the Employee of his duties as an executive employee of the CompanyE&B, any material confidential information obtained by him while in the employ of the Company E&B with respect to any of the Company’s or any of its subsidiaries’ E&B’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to the CompanyCompany or E&B; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive the Employee or any person with the assistance, consent or direction of Executivethe Employee) or any information of a type not otherwise considered confidential by persons engaged in the same business or of a business similar to that conducted by the Company or E&B or any information that must be disclosed as required by law.

Unauthorized Disclosure. During the term of his her employment hereunderafter the Effective Time, or at any later time, Executive shall not, without the written consent of the Company Board of Directors of ACNB Bank or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company ACNB or ACNB Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by Executive of his her duties as an executive of the CompanyACNB Bank, any material confidential information obtained by him her while in the employ of the Company ACNB Bank with respect to any of the CompanyACNB’s or any of its subsidiaries’ and ACNB Bank’s services, products, improvements, formulas, designs or styles, processes, customers, methods of business business, or any business practices the disclosure of which could be or will be damaging to the CompanyACNB or ACNB Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by Executive or any person with the assistance, consent or direction of Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by the Company ACNB and ACNB Bank or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Company Board of Directors of HNC or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Bank, Millennium, HNC or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive President of the CompanyMillennium, any material confidential information obtained by him while in the employ of the Company HMS with respect to any of HNC’s, the CompanyBank’s, or Millennium’s or any of its subsidiaries’ services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to HNC, the CompanyBank, or Millennium; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by HNC, the Company Bank, or Millennium or any information that must be disclosed as required by law.

During the term of his employment hereunder, or at any later time, the Executive shall not, without the written consent of the Company Board Boards of Directors of Parent and Parent Bank or a person authorized thereby (except as may be required pursuant to a subpoena or other legal process)thereby, knowingly disclose to any person, other than an employee of the Company Parent or Parent Bank or a person to whom disclosure is reasonably necessary or appropriate in connection with the performance by the Executive of his duties as an executive of the CompanyParent and Parent Bank, any material confidential information obtained by him while in the employ of the Company Parent and Parent Bank with respect to any of the Company’s or any of its subsidiaries’ Parent's and Parent Bank's services, products, improvements, formulas, designs or styles, processes, customers, methods of business or any business practices the disclosure of which could be or will be damaging to the CompanyParent or Parent Bank; provided, however, that confidential information shall not include any information known generally to the public (other than as a result of unauthorized disclosure by the Executive or any person with the assistance, consent or direction of the Executive) or any information of a type not otherwise considered confidential by persons engaged in the same business or a business similar to that conducted by the Company Parent and Parent Bank or any information that must be disclosed as required by law.
