Common use of Trademarks and Patents Clause in Contracts

Trademarks and Patents. If Company or any of its Subsidiaries acquires any material patents, trademarks or copyrights, Company shall promptly notify the Collateral Agent of that fact and, if requested by Administrative Agent, Company shall, or cause the applicable Subsidiary to, execute and deliver to Collateral Agent supplemental security agreements and take such other actions as the Collateral Agent may reasonably request to create in favor of Collateral Agent, for the benefit of Secured Parties, a valid and perfected First Priority Lien on such patents, trademarks or copyrights.
