Common use of The Secretary Clause in Contracts

The Secretary. The Secretary shall: (i) keep the minutes of the Director and Member meetings; (ii) see that all notices are duly given in accordance with this Agreement and as required by law; (iii) serve as the custodian of the Company’s records; (iv) when requested or required, authenticate any Company records; (v) keep and maintain the Unit Holder Register and the Unit transfer books of the Company; and (vi) perform all duties incident to the office of Secretary and such other duties as may be prescribed by this Agreement or by the Directors.

The Secretary. The Secretary shall: (i) keep the minutes of the Director Governor and Member meetings; (ii) see that all notices are duly given in accordance with this Agreement and as required by law; (iii) serve as the custodian of the Company’s records; (iv) when requested or required, authenticate any Company records; (v) keep and maintain the Unit Holder Register and the Unit transfer books of the Company; and (vi) perform all duties incident to the office of Secretary and such other duties as may be prescribed by this Agreement or by the DirectorsGovernors.

The Secretary. The Secretary shall: (i) shall keep or cause to be kept the minutes of the Director and Member any Company meetings; (ii) shall see that all notices are duly given in accordance with this Agreement and as required by the provisions of applicable law; (iii) serve as the shall be custodian of the Company’s records; (iv) when requested or requiredand, authenticate any Company records; (v) keep and maintain the Unit Holder Register and the Unit transfer books of the Company; and (vi) in general, shall perform all duties incident to the office of Secretary the secretary and such other duties as may from time to time be prescribed assigned by this Agreement the Member or by the DirectorsPresident.

The Secretary shall: (i) keep the minutes of the Director Manager and Member meetings; (ii) see that all notices are duly given in accordance with this Agreement and as required by law; (iii) serve as the custodian of the Company’s records; (iv) when requested or required, authenticate any Company records; (v) keep and maintain the Unit Holder Register and the Unit transfer books of the Company; and (vi) perform all duties incident to the office of Secretary and such other duties as may be prescribed by this Agreement or by the DirectorsManagers.

The Secretary shall: (ia) keep the or cause to be kept minutes of all meetings of the Director Member and Member meetingsof the Board of Directors; (iib) see that all notices are duly given in accordance with the provisions of this Operating Agreement and or as required by law; (iii) serve as the custodian of the Company’s records; (iv) when requested or required, authenticate any Company records; (v) keep and maintain the Unit Holder Register and the Unit transfer books of the Company; and (vic) perform all duties incident to the office of Secretary and such other duties as from time to time may be prescribed designated or assigned to him by this Agreement the President or by the Board of Directors.

The Secretary shall: (ia) keep the minutes of all the Director meetings of the Members and Member meetingsof the Members; (iib) see that all notices are duly given in accordance with the provisions of this Agreement and or as required by law; (iiic) serve as the be custodian of the Company’s records; (iv) when requested or required, authenticate any Company records; (v) keep and maintain the Unit Holder Register and the Unit transfer books corporate records of the Company; (d) maintain a complete list of all Members entitled to vote at Members' meetings and (vi) perform all duties incident to the office of Secretary and such other duties as have said list available for inspection by any Member who may be prescribed by this Agreement or by the Directors.present at such meetings;
