Common use of The Register Clause in Contracts

The Register. Notwithstanding anything to the contrary in this Agreement, each Borrower hereby designates the Administrative Agent, and the Administrative Agent, hereby accepts such designation, to serve as such Borrower's contractual representative solely for purposes of this Section 14.3(C). In this connection, the Administrative Agent shall maintain at its address referred to in Section 15.1 a copy of each assignment delivered to and accepted by it pursuant to this Section 14.3 and a register (the "Register") for the recordation of the names and addresses of the Lenders and the Commitment of, principal amount of and interest on the Loans owing to, each Lender from time to time and whether such Lender is an original Lender or the assignee of another Lender pursuant to an assignment under this Section 14.3. The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Company and each of its Subsidiaries, the Administrative Agent and the Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by any Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The Register. The Register shall be available for inspection by any the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Company and each of its Subsidiaries, the Administrative Agent and the Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by any Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Company Borrower and each of its Subsidiaries, the Administrative Agent and the Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. In this connection, the Administrative Agent shall maintain at its address referred to in Section 15.1 14.1 a copy of each assignment delivered to and accepted by it pursuant to this Section 14.3 13.3 and a register (the "RegisterREGISTER") for the recordation of the names and addresses of the Lenders and the Revolving Loan Commitment of, of and principal amount of and interest on the Loans owing to, each Lender from time to time and whether such Lender is an original Lender or the assignee of another Lender pursuant to an assignment under this Section 14.313.3. The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Company each Borrower and each of its Subsidiaries, the Administrative Agent and the Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by any Borrower the Borrowers or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The Register. Notwithstanding anything to the contrary in this Agreement, each the Borrower hereby designates the Administrative Agent, and the Administrative Agent, Agent hereby accepts such designation, to serve as such the Borrower's contractual representative ’s non-fiduciary agent solely for purposes of this Section 14.3(C)12.3. In this connection, the Administrative Agent shall maintain at its address referred to in Section 15.1 13.1 a copy of each assignment delivered to and accepted by it pursuant to this Section 14.3 12.3 and a register (the "“Register"”) for the recordation of the names and addresses of the Lenders and the Commitment of, principal amount of and interest on the Loans owing to, each Lender from time to time and whether such Lender is an original Lender or the assignee of another Lender pursuant to an assignment under this Section 14.312.3. The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Company Borrower and each of its Subsidiaries, the Administrative Agent and the Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by any the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The Register. Notwithstanding anything to the contrary in this Agreement, each the Borrower hereby designates the Administrative Agent, and the Administrative Agent, hereby accepts such designation, to serve as such the Borrower's contractual representative solely for purposes of this Section 14.3(C)12.3.3. In this connection, the Administrative Agent shall maintain at its address referred to in Section 15.1 13.1 a copy of each assignment Assignment Agreement delivered to and accepted by it pursuant to this Section 14.3 12.3.3 and a register (the "Register") for the recordation of the names and addresses of the Lenders and the Commitment of, principal amount of and interest on the Revolving Loans owing to, each Lender from time to time and whether such Lender is an original Lender or the assignee of another Lender pursuant to an assignment under this Section 14.312.3. The entries in the Register shall be conclusive and binding for 67 all purposes, absent manifest error, and the Company Borrower and each of its Subsidiaries, the Administrative Agent Agents, the LC Issuers and the Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by any the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.
