The Parties’ Roles. The parties agree that with regard to the Processing of Personal Data, Customer is the Controller, Okta is the Processor, and that Okta or members of the Okta Group will engage Sub-processors pursuant to the requirements of this DPA.

The Parties’ Roles. Epicor, as Controller, appoints Vendor as a Processor to process the Personal Data on Epicor's behalf. In some circumstances Epicor may be a Processor, in which case Epicor appoints Vendor as Epicor's sub-processor, which shall not change the obligations of either Epicor or Vendor under this DPA, as Vendor will remain a Processor with respect to Epicor in such event. Vendor may engage Sub-processors pursuant to the requirements of this DPA.
The Parties’ Roles. The parties acknowledge and agree that (i) with respect to Customer’s Personal Data and/or SCoPD processed by AAI for the provision of the Service, AAI shall be a Processor (or a ‘service provider’ for purposes of CCPA) and Customer shall be a Controller (or a ‘Business’ for purposes of CCPA), and (ii) with respect to any other Personal Data and/or SCoPD including (without limitation) such data processed for Service Improvement, each party shall be a separate Controller (or a ‘Business’ for purposes of CCPA).
The Parties’ Roles. The parties agree that with regard to the Processing of Personal Data under EU Applicable Law, Customer is the Data Controller and Alert Logic is a Data Processor. Data Processor shall only Process Personal Data on behalf of Data Controller in accordance with and for the purposes set out in the Instructions. Each party shall comply with the obligations applicable to that party under EU Applicable Law. Data Processor shall promptly inform Data Controller if, in Data Processor’s opinion: (i) Data Processor cannot comply with EU Applicable Law or (ii) that Data Controller’s Instructions violate EU Applicable Law.
The Parties’ Roles. This JDA is an experimental program that involves the manufacture and testing of chemical products and/or physical structures, some of which are experimental in nature. NEITHER PARTY MAKES ANY WARRANTIES OR REPRESENTATIONS OF ACCURACY, RELIABILITY, COMPLETENESS, Confidential MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR PURPOSE WITH RESPECT TO ANY SAMPLES OR TECHNICAL INFORMATION THAT IT SUPPLIES TO THE OTHER PARTY HEREUNDER. ALL INFORMATION AND SAMPLES SUPPLIED HEREUNDER ARE PROVIDED ON AN “AS IS” BASIS AND EACH PARTY SUPPLYING THE SAME EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES WITH RESPECT TO THE SAME. Accordingly, each Party will be responsible for taking all reasonable precautions in using, handling, and/or evaluating the same. Each Party will take reasonable steps to ensure that its Related Persons observe the appropriate safety and operational rules of the host location at which that work is being done. Each Party agrees that it is in the best position to protect its property, its Related Persons, and the property of its Related Persons against injury, illness, death, damage, or loss as well as to insure against any of the same that may occur. Based upon the foregoing, the Parties agree that the following provisions are a reasonable allocation of the responsibilities, risks, and liabilities with respect to their relationship under this JDA.
