Common use of Termination of Obligations Clause in Contracts

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144, or (c) the third anniversary of the Closing Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 Sections 2 through 5 hereof with respect to any Holder shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resold, resold by such Holder or (bii) such time as all of the Registrable Shares held by such Holder may be resold in a three-sold during any 3 month period pursuant to Rule 144, including Rule 144 (k) or (ciii) upon the third second anniversary date of the Closing Effective Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 Sections 2.1 through 2.4 hereof shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resold, resold or (bii) such time as all of the Registrable Shares may be resold in a three-sold during any 3 month period pursuant to Rule 144, including Rule 144 (k) or (ciii) upon the third anniversary date of the Closing DateEffective Date of this Agreement.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 Sections 8.2 through 8.5 hereof with respect to Registrable Shares issued at a Closing and the Registration Statement covering such Shares shall cease and terminate upon the earlier to occur at such time as all of such Registrable Shares (ai) have been resold or (ii) such time as all of the such Registrable Shares have been resold, (b) held by such time as all of the Registrable Shares Purchaser may be resold in a three-month sold during any 90 day period pursuant to Rule 144, or including Rule 144 (c) k), without being restricted by the third anniversary volume limitations of the Closing DateRule 144(e).

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 1.2 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144, 144 or (c) the third second anniversary of the Closing Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 Sections 9.2 through 9.5 hereof shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resoldresold or (ii) as to each Purchaser, (b) such time as all of the Registrable Shares held by such Purchaser may be resold in a three-month sold during any 90 day period pursuant to Rule 144, or including Rule 144 (c) k), without being restricted by the third anniversary volume limitations of the Closing DateRule 144(e).

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares that have not previously been resold may be resold in a three-month period pursuant to Rule 144144(k) and Purchaser receives an opinion of counsel to the Company to that effect, or (c) the third anniversary of the Closing Date.

Termination of Obligations. The obligations of the Company pursuant to Section Sections 7.2 and 7.3 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be resold in a three90-month day period pursuant to Rule 144, or (c) the third second anniversary of the Closing Datedate the Registration Statement or Demand Registration Statement, as applicable, went effective.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 hereof shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resold, (bii) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144, or (ciii) the third anniversary of the Closing Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144144(k), or (c) the third fifth anniversary of the Second Closing Date or, if the Second Closing does not occur, the First Closing Date.

The obligations of the Company pursuant to Section 7.2 hereof shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resold, or (bii) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144, or (ciii) the third second anniversary of the Closing Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 Sections 2.1 through 2.6 hereof shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resold, resold or (bii) such time as all of the Registrable Shares may be resold in a three-sold during any 3 month period pursuant to Rule 144, including Rule 144 (k) or (ciii) upon the third second anniversary date of the Closing Datedate of effectiveness of the Registration Statement.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 7.1 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be resold in a three-month period without restriction pursuant to Rule 144, or (c) the third anniversary of the Closing Date, but not so long as any Purchaser is deemed an Affiliate of the Company.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 1.2 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be freely resold in a three-month period by the Purchaser pursuant to Rule 144 under the Securities Act (“Rule 144”), or (c) the third second anniversary of the Closing Datedate hereof.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144144(k), or (c) the third fifth anniversary of later of the First Closing Date or Second Closing Date.

Termination of Obligations. The Company’s registration obligations of the Company pursuant to Section 7.2 Sections 2 and 3 hereof shall cease and terminate upon on the earlier to occur of (a) such time as the date that all of the Registrable Shares have been resoldSecurities held or entitled to be held by Holder may immediately be sold without restriction (including volume limitations) under Rule 144 during any 90-day period, or (b) such time as all of one (1) year from the Registrable Shares may be resold in a three-month period pursuant to Rule 144, or (c) the third anniversary of the Closing Effective Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 5.2 hereof shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resold, or (bii) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144, or (ciii) the third second anniversary of the Closing Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 hereof shall cease and terminate upon the earlier to occur of (a) such time as all of the Registrable Shares have been resold, (b) such time as all of the Registrable Shares may be resold in a three-month period pursuant to Rule 144, or (c) the third second anniversary of the Closing Date.

Termination of Obligations. The obligations of the Company pursuant to Section 7.2 Sections 2.1 through 2.5 hereof shall cease and terminate upon the earlier to occur of (ai) such time as all of the Registrable Shares have been resold, resold or (bii) such time as all of the Registrable Shares may be resold in a three-sold during any 3 month period pursuant to Rule 144, including Rule 144 (k) or (ciii) upon the third second anniversary date of the Closing Datedate of effectiveness of the Registration Statement.
