Common use of Survival Severability Clause in Contracts

Survival Severability. The provisions of Sections 4, 6, 7, 9, 11, 14 and 17 shall survive any expiration or termination of this Agreement. If any provision of this Agreement is found invalid or unenforceable by a court of competent jurisdiction, then such provision shall be deemed stricken herefrom and the remainder of this Agreement shall remain at all times in full force and effect and such invalid or enforceable provision shall, to the extent legally permitted, be replaced by the valid and enforceable provision that seems closest to the parties’ intent underlying the invalid or unenforceable provision.
