SUPPLY OF PRODUCTS AND SERVICES. 7.1 The Customer acknowledges that before agreeing to purchase any Products and Services from Viridian, the Customer expressly represents and warrants that it has not committed any act of bankruptcy and knows of no circumstances which would entitle any secured creditor to exercise any rights over or against the Customer’s assets.

SUPPLY OF PRODUCTS AND SERVICES eleXsys Energy has agreed to supply the Products and/or Services requested in the Customer Schedule and Proposal and the Customer has agreed to purchase the Products and Services from eleXsys Energy in accordance with the terms of this Contract. eleXsys Energy will determine whether a Performance Guarantee will be offered to the Customer in accordance with the process set out in clause 4. eleXsys Energy will decide, in its sole discretion, whether to offer a Performance Guarantee.

SUPPLY OF PRODUCTS AND SERVICES. 1.1 The Service Provider hereby agrees to supply certain of the Services described in the Outsourcing Agreement to the Customer Group Company in accordance with the terms of this Local Agreement.
SUPPLY OF PRODUCTS AND SERVICES. The FLOW Company hereby agrees to supply Services to the Customer in accordance with the terms of this Adoption Agreement.
SUPPLY OF PRODUCTS AND SERVICES. Lynx agrees to supply the Products and Services to Reseller to sell the Products and Services to End Users or for internal use. Reseller may describe itself as an authorised reseller of Lynx’s Products and Services, but Reseller must not describe itself in any way as an employee, partner or agent of Lynx. These Reseller Terms and Conditions of Sale are not intended to create a relationship between the Parties of partnership, joint venture, agency or employer-employee. Neither Party has authority to create, assume or otherwise enter into any agreement that imposes rights or obligations on the part of the other Party.

SUPPLY OF PRODUCTS AND SERVICES. The Directors (including the independent non-executive Directors, but excluding Xx. Xxxx who has abstained from voting in the Board meeting given that he is also a director of Fujian Start) consider that the supply of products and services as contemplated under the Master Agreement are for the benefit of the Group, as the Group would be able to (i) secure constant stream of revenue from the sale of the All-in-One Thin Client Computer, printing machines, POS machines related products and services at competitive prices, which contributes to the stable operation of the business of the Group; and (ii) enable the Group to take advantage of the distribution channels of the Fujian Start Group. The price to be charged by the Group in respect of the supply of goods and services will be determined on arm’s length basis with reference to the prevailing market prices, and will be no less favourable than the selling prices of similar products and services to Independent Third Parties. Based on the above, the Directors (including the independent non-executive Directors, but excluding Xx. Xxxx who has abstained from voting in the Board meeting given that he is also a director of Fujian Start) consider that the supply of products and services by the Group to the Fujian Start contemplated under the Master Agreement are on normal commercial terms, in the ordinary and usual course of business of the Group and are fair and reasonable and in the interests of the Company and the Shareholders as a whole.
