Successors and Assigns; Third Parties. (a) Subject to Section 5, this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and permitted assigns. Except by operation of law, this agreement shall not be assigned by the Company without the prior written consent of the holders of a majority of the Registrable Securities outstanding at the time such consent is required.
