Service Managers. All communications related to the delivery of the Services shall be coordinated through the respective Service Managers of GGP and Spinco. The initial Service Managers of GGP and Spinco shall be as set forth on the attachment hereto. SCHEDULE A-3 DEVELOPMENT
Service Managers. (a) Each Provider and Recipient shall designate one or more of its employees or representatives to be manager for each of the categories of Services listed in Section 2.1(a) herein (each, a “Provider Service Manager”, “
Service Managers. Ironwood and Cyclerion shall each appoint an employee to have overall responsibility for managing and coordinating the delivery of Services in accordance with this Agreement (such employee, a “Service Manager”). The initial Service Managers will be identified on Exhibit A hereto or otherwise designated by each of the Parties prior to the Distribution Effective Time, and may thereafter be replaced from time to time upon written notice to the other Party. Service Managers shall consult and coordinate with one another regarding the provision of Services hereunder.

Service Managers. 26.1.1 Each party hereby appoints the following service manager (“Service Manager”) as a contact person for the other party, who shall be responsible for the day-to-day service management on behalf of the appointing party:

Service Managers. ALL COMMUNICATIONS RELATED TO THE DELIVERY OF THE SERVICES SHALL BE COORDINATED THROUGH THE RESPECTIVE SERVICE MANAGERS OF GGP AND SPINCO. THE INITIAL SERVICE MANAGERS OF GGP AND SPINCO SHALL BE AS SET FORTH ON THE ATTACHMENT HERETO.
Service Managers. 5.1 Provider Service Manager: Senior Manager, Technology
Service Managers. Seller and Buyer will each designate a service manager (with respect to a Party, such Party’s “Service Manager”), who will be directly responsible for coordinating and managing the delivery or receipt of the Services and who will have the authority to act on such Party’s behalf with respect to matters relating to this Agreement. The Service Managers will also discuss progress in the transition of the Services hereunder and may establish a mutually acceptable set of procedures, including frequency of meetings and reporting, and other mutually acceptable, reasonable structures for their cooperation and the cooperation of the Parties in the execution of their obligations pursuant to this Agreement. Unless otherwise agreed to by the Parties, all communications relating to this Agreement and the Services shall be directed to the Service Managers. With respect to matters relating to the Services or under this Agreement requiring dispute resolution, the Parties and their respective Service Managers will follow the dispute resolution process outlined in Section 2.6. The Parties’ initial Service Managers will be Xxxxxxxx Xxxxxxxxx for the Buyer, and Xxxx Xxxxxxx, for the Seller. Seller and Buyer may, in their sole discretion, replace their respective Service Manager from time to time with a substitute manager upon written notice to the other Party.
Service Managers. The Administrator and the Company will each designate a services account manager (respectively, the “Administrator Services Manager” and the “Company Services Manager” and collectively, the “Services Managers”) who will be directly responsible for coordinating and managing the Administrative Services and other obligations of the parties hereunder. The Administrator Services Manager will have authority to act on the Administrator’s behalf with respect to the Administrative Services and the Administrator’s obligations hereunder. The Company Services Manager shall have the authority to act on the Company’s behalf with respect to the Administrative Services and the Company’s obligations hereunder. The Services Managers shall cooperate in good faith to establish the manner and timing for providing such information. Notwithstanding the provisions of Section 16.2, any requests for consent, consent or approval or other notice may be made in writing as between the Services Managers if the Service Managers agree in advance that the provisions of Section 16.2 do not apply to such request, consent or approval or other notice. Either party, from time to time, may designate a replacement Service Manager for the existing Service Manager, giving notice in accordance with Section 16.2.
