Buyer will. A. Work exclusively with Broker for the Purchase of property.
Buyer will. (a) Monitor the inventory of Product at Buyer’s location and regularly advise Seller of the level thereof at each such location.

(a) prepare and file with the SEC a registration statement with respect to the Shares issued to Seller, and use its reasonable best efforts to cause such registration statement to become and remain effective until the earlier of two years from the date upon which such registration statement is declared effective by the SEC (the "Effective Time") or the date that all Shares registered on such registration statement have been sold by Seller;

Buyer will. ACCEPT THE PURCHASED ASSETS AT THE CLOSING “AS IS,” “WHERE IS,” AND “WITH ALL FAULTS”.
Buyer will notify Seller promptly after a discovery by Buyer that any representation or warranty of Seller contained in this Agreement is, becomes or will be untrue in any material respect on or before the Closing Date.
