Right to Sublicense. LICENSEE shall have the right to grant to any SUBLICENSEE sublicenses to all or any portion of its rights under the license granted pursuant to this Article 2; PROVIDED, HOWEVER, that (a) LICENSOR shall be notified in writing of any and all potential sublicenses, and (b) any and all sublicenses shall be consistent with the terms and conditions of this Agreement.
