Recipient shall be solely liable for any modifications to any Product that it makes, directs or permits, including but not limited to any potential infringement upon third-party intellectual property rights. Restricted Use by Licensee Except as expressly authorized by the terms of license, Licensee shall not:
Restricted Use By Third Parties Third parties retained by Licensee shall have the right to use the Product to maintain Licensee’s business operations, including data processing, for the time period that they are engaged in such activities, provided that: (i) Licensee gives notice to Contractor of such third party, Site of intended use of the Product, and means of access; and (ii) such third party has executed, or agrees to execute, the Product manufacturer’s standard nondisclosure or restricted use agreement, which executed agreement shall be accepted by the Contractor (“Non-Disclosure Agreement”); and (iii) such third party maintains a logical or physical partition within its computer system so as to restrict use and access to the program to that portion solely dedicated to beneficial use for Licensee. In no event shall Licensee assume any liability for third party’s compliance with the terms of the Non-Disclosure Agreement, nor shall the Non- Disclosure Agreement create or impose any liabilities on the State or Licensee.
Permitted Users Client may access and use only the Course Materials to which Client has subscribed, and such access and use is limited to the number of users identified in the Order Form and any subsequent Orders placed under an Order Form, and for the Contract Term. Orders for additional Subscriptions may be agreed by the parties from time to time under a particular Order Form, and shall set forth the number of additional Subscriptions, the total Subscription Fees payable therefore, and any other terms and conditions relating to such Order (each, an “Order”). Each Order Form and each Order, upon execution by both parties, shall form a part of this Agreement, and shall be subject to all of the terms and conditions hereof. An Order may take the form of a supplementary document signed by each party or acknowledged by each party electronically (whether by facsimile transmission, email or by other similar reliable means evidencing the intent of the parties). Each Order shall be subject to the terms of this Agreement and shall be incorporated herein by reference. A Subscription is limited to use by one individual user and may not be transferred to another user.
Unauthorized Use or Disclosure The Contractor shall notify COMMERCE within five (5) working days of any unauthorized use or disclosure of any confidential information, and shall take necessary steps to mitigate the harmful effects of such use or disclosure.
Employee Access Employees are entitled to read and review their personnel file and, without limiting the generality of the foregoing, shall be entitled to inspect their performance evaluations, written censures, letters of reprimand, and other adverse reports. Upon request, employees shall be given copies of all such pertinent documents. The Employer further agrees that no personal files or documents on employees shall be kept outside of the personnel file, apart from payroll or health services files.
Passwords and Employee Access Provider shall secure usernames, passwords, and any other means of gaining access to the Services or to Student Data, at a level suggested by Article 4.3 of NIST 800-63-3. Provider shall only provide access to Student Data to employees or contractors that are performing the Services. Employees with access to Student Data shall have signed confidentiality agreements regarding said Student Data. All employees with access to Student Records shall pass criminal background checks.
Limited Use Each Party agrees it shall not, without the prior written consent of the other Party or as permitted by the terms and conditions of this Agreement, do any of the following: (i) disclose any Confidential Information to any third party; (ii) permit any third party access to such Confidential Information; or (iii) use Confidential Information for any purpose other than collecting debt on the Referred Account s referred to Agency by Client.
Approved User A user approved by the relevant Data Access Committee(s) to access one or more datasets for a specified period of time and only for the purposes outlined in the Principal Investigator (PI)’s approved Research Use Statement. The Information Technology (IT) Director indicated on the Data Access Request, as well as any staff members and trainees under the direct supervision of the PI are also Approved Users and must abide by the terms laid out in the Data Use Certification Agreement.
