Common use of Resignation as Director Clause in Contracts

Resignation as Director. If the Executive's employment under this Agreement is terminated for any reason, the Executive shall resign as a director of the Company and as a director, member and/or manager of all affiliates of the Company of which Executive is a director, member and/or manager. Such resignation will be effective (i) in the case of a termination by the Executive pursuant to Section 1, "Employment Agreement," or Section 3, "Termination of Employment," on the date the Executive delivers the relevant Notice of Termination in accordance with such Sections; (ii) in the case of a termination by the Company, on the date Executive receives the relevant Notice of Termination; and (iii) in the case of a termination for any other reason, no later than the relevant Termination Date.

Such resignation will be effective (i) in the case of a termination by the Executive pursuant to Section 1, "Employment Agreement," or Section 3, "Termination of Employment," on the date the Executive delivers the relevant Notice of Termination in accordance with such Sections; (ii) in the case of a termination by the Company, on the date Executive receives the relevant Notice of Termination; and (iii) in the case of a termination for any other reason, no later than the relevant Termination Date.
