Resignation as Director. Upon the Company’s written request, Executive agrees to promptly resign as a member of the Company’s Board of Directors following any termination of his employment with the Company (or any parent or subsidiary of the Company).
Resignation as Director. In the event that Employee’s employment terminates for any reason, he shall be deemed to have immediately tendered his resignation as a director on Employer’s (and any of Employer’s affiliates) Board of Directors, and such Boards may accept such resignation in their discretion effective upon the termination date without further action by the Employee.
Resignation as Director. If the Executive's employment under this Agreement is terminated for any reason, the Executive shall resign as a director of the Company and as a director, member and/or manager of all affiliates of the Company of which Executive is a director, member and/or manager. Such resignation will be effective (i) in the case of a termination by the Executive pursuant to Section 1, "Employment Agreement," or Section 3, "Termination of Employment," on the date the Executive delivers the relevant Notice of Termination in accordance with such Sections; (ii) in the case of a termination by the Company, on the date Executive receives the relevant Notice of Termination; and (iii) in the case of a termination for any other reason, no later than the relevant Termination Date.
Resignation as Director. If Executive's employment with the Company is terminated for any reason, and at the time of such termination Executive is serving on the Company's Board of Directors, Executive shall resign his position on the Company's Board of Directors effective no later than the effective date of the termination of Executive's employment with the Company; provided, that Executive's obligation to resign as set forth in this Section 7(e) shall be conditioned upon the Company's payment to Executive of all applicable payments and other benefits arising from such termination as required by this Agreement.
Resignation as Director. Executive shall not, promptly after Termination and upon receiving a written request to do so, resign as a director and/or officer of each subsidiary and affiliate of Sonat of which he is then serving as a director and/or officer.
Resignation as Director. 21.1 The Executive will on termination of his employment in accordance with the terms of this Agreement at the request of the Board giving notice resign immediately without claim for compensation (but without prejudice to any claim he may have for damages for breach of this Agreement):
Resignation as Director. Upon termination of Executive’s employment hereunder, Executive shall immediately submit his written resignation as a member of the Board. The Board shall have discretion to accept or reject such resignation.
Resignation as Director. If, for any reason, (a) Executive terminates his employment with the Corporation, or (b) the Corporation terminates Executive's employment under the terms of this Agreement, or (c) this Agreement expires without being renewed or extended, then Executive will resign as a director, effective upon the occurrence of such termination or expiration, whichever is applicable.
Resignation as Director. 23.1 The Executive will on termination of their employment for any reason, or on commencement of any period of exclusion pursuant to Clause 20.2 at the request of the Board, give notice 23 March 2021 resigning immediately without claim for compensation (but without prejudice to any claim they may have for damages for breach of this Agreement):
Resignation as Director. Executive agrees that in the event that this Agreement or her employment under this Agreement is terminated, Executive shall resign as a director of Corporation, Bank, Services Corporation or any of their affiliates or subsidiaries, if she is then serving as a director of any such entities.
