Common use of Required Consents and Approvals Clause in Contracts

Required Consents and Approvals. The Administrative Agent shall be satisfied that all required consents and approvals have been obtained with respect to the transactions contemplated hereby from all Governmental Authorities with jurisdiction over the business and activities of any Credit Party and from any other entity whose consent or approval the Administrative Agent in its reasonable discretion deems necessary to the transactions contemplated hereby.

Required Consents and Approvals. The Administrative Agent shall be reasonably satisfied that (i) all required consents and approvals have been obtained with respect to the transactions contemplated hereby from all Governmental Authorities with jurisdiction over the business and activities of any the Credit Party Parties and from any other entity whose consent or approval the Administrative Agent in its reasonable discretion deems necessary to the transactions contemplated hereby, and (ii) all such consents and approvals remain in full force and effect.

The Administrative Agent shall be satisfied that all required consents and approvals have been obtained with respect to the Merger and the other transactions contemplated hereby from all Governmental Authorities with jurisdiction over the business and activities of Artisan or any Credit Party and from any other entity whose consent or approval the Administrative Agent in its reasonable discretion deems necessary to the transactions contemplated herebyhereby and (ii) all related waiting periods shall have been satisfied (including waiting periods under the Hart-Scott-Rodino Act), if applicable.

The Administrative Agent shall be satisfied that all required consents and approvals have been obtained with respect to the loan transaction contemplated hereby and the transactions contemplated hereby by the other Fundamental Documents from all Governmental Authorities with jurisdiction over the business and activities of any Credit Party the Transaction Parties, and from any other entity whose consent or approval the Administrative Agent in its reasonable discretion deems necessary to the transactions contemplated herebysuch transactions.

The Administrative Agent shall be satisfied in its sole discretion that all required consents and approvals have been obtained with respect to the transactions contemplated hereby from all Governmental Authorities with jurisdiction over the business and activities of any Credit Party and from any other entity whose consent consent, waiver or approval is required pursuant to the terms of existing contracts to which any of the Credit Parties is bound and which the Administrative Agent in its reasonable sole discretion deems necessary to the transactions contemplated hereby.;
