REPRESENTATIONS TO OTHER PARTIES. Lessee will not and will not permit Permitted Sublessee to (a) represent or hold out Lessor or any Lender as carrying goods or passengers on the Aircraft or as being in any way connected or associated with any operation of, or having any responsibility for, the Aircraft, or (b) pledge the credit of Lessor or any Lender for any maintenance, service, repairs, or overhauls of, or modifications to, or changes or alterations in, the Aircraft or for any other purpose whatsoever.

The Investment Manager further represents and warrants to the Sub-Adviser that (i) the appointment of the Sub-Adviser by the Investment Manager has been duly authorized and (ii) it has acted and will continue to act in connection with the transactions contemplated hereby, and the transactions contemplated hereby are, in conformity with the ICA, the Company's governing documents and other applicable law.
